REPRESENTATIONS AND WARRANTIES OF NOVADIGM. Novadigm represents and warrants to Parent and Merger Sub, subject to the exceptions specifically disclosed in writing in the disclosure letter (referencing the applicable paragraph and section of this Article II) supplied by Novadigm to Parent on or prior to, and dated as of, the date hereof and certified by a duly authorized officer of Novadigm (the "NOVADIGM DISCLOSURE LETTER"), which Novadigm Disclosure Letter shall provide an exception to or otherwise qualify only the representations and warranties of Novadigm (i) contained in the paragraph of this Article II corresponding to such disclosure, and (ii) contained in any other paragraph of this Article II where the relevance of such exception or qualification is readily apparent from the face of such disclosure, as follows:
