Representations and Warranties of RichCorp. As a material inducement for the Buyer to purchase the Enzyme Technology, Richcorp makes the following representations and warranties for the benefit of the Buyer, which RichCorp represents and warrants shall be true at Closing as if made that date, and which shall survive the Closing and the delivery of all instruments and documents contemplated herein and, at Closing, such representations and warranties will be so certified in form and substance satisfactory to the Buyer and the Buyer's counsel:
