REPRESENTATIONS AND WARRANTIES OF SELLER AND THE CITY. Seller makes only the representations and warranties that are set forth in this Article IV related to the Seller. The City makes only the representations and warranties that are set forth in Sections 4.01, 4.02, 4.03, 4.11 and 4.12. As a material inducement to Buyer to enter into this Agreement and to consummate the transactions contemplated by this Agreement, Seller and City, as applicable represents and warrants, as of the Effective Date and as of the Closing Date (except to the extent any of the following representations and warranties specifically apply to or relate to another date, in which event such representations and warranties shall be true and correct as of such other date), as follows:
