Representations and Warranties of Seller to be True. The representations and warranties of Seller contained in this Agreement or in any statement, certificate, schedule or other document delivered pursuant to this Agreement or in connection with the transactions contemplated hereby, shall be true and correct (to the knowledge of Seller where specifically stated) in all material respects on the Closing with the same force and effect as though made at such time. Seller shall have performed all obligations and complied with all covenants required by this Agreement, and the other agreements referred to herein, to be performed or complied with by him prior to the Closing.
Representations and Warranties of Seller to be True. The representations and warranties of Seller contained in this Agreement shall be true and correct in all material respects on the Closing with the same force and effect as though made at such time. Seller shall have performed in all material respects all obligations and covenants required by this Agreement required to be performed or complied with by Seller prior to the Closing.
Representations and Warranties of Seller to be True. The representations and warranties of Seller herein contained shall be true in all material respects at the Effective Date with the same effect as though made at such time, except to the extent waived hereunder or affected by the schedules delivered hereunder; Seller shall have performed in all material respects all obligations and complied in all material respects with all covenants and conditions required by this Agreement to be performed or complied with by it at or prior to the Effective Date; and Seller shall have delivered to KIW a certificate of DES in form and substance satisfactory to KIW dated the Effective Date and Signed by its principal financial officer, to all such effects.
Representations and Warranties of Seller to be True. The representations and warranties of Seller herein contained shall be true and correct in all material respects on the date hereof and at the Closing Date with the same effect as though made at such time, except (i) insofar as any of such representations and warranties are given as of a particular date and relate solely to a particular date or period, and (ii) to the extent any of such representations and warranties have been waived hereunder or affected by the transactions contemplated or permitted herein. Seller shall have performed, or caused MAA, MAI and the Subsidiaries to perform, in all material respects all obligations and complied in all material respects with all covenants and conditions required by this Agreement to be performed or complied with by them at or prior to the Closing Date.
Representations and Warranties of Seller to be True. The representations and warranties of Seller contained in this Agreement shall be true and correct in all material respects on the Closing Date with the same force and effect as though made on and as of the Closing Date (provided that with respect to any specific representations and warranties which are qualified by materiality or material adverse effect, the term “in all material respects” as used in this sentence shall be deemed to be interpreted as “in all respects”), except for representations and warranties made as of a specific date which shall be true and correct as of such date. Seller shall have performed, in all material respects, all obligations and complied, in all material respects, with all covenants required by this Agreement to be performed or complied with by it prior to the Closing Date.
