Representations and Warranties of the Company and the Holders. The Stockholders and, prior to the Effective Time, the Company, jointly and severally, represent and warrant to the Buyer and, following the Effective Time, the Surviving Corporation that the statements contained in this Article II are true and correct, except as set forth in the disclosure schedule attached hereto (the "Disclosure Schedule"). The Performance Unit Holders, jointly and ------------------- severally, represent to the Buyer and, following the Effective Time, the Surviving Corporation that, to their knowledge and except as set forth in the Disclosure Schedule, the statements contained in Sections 2.12, 2.15, 2.16, 2.20, 2.29 and 2.32 are true and correct, it being understood that the qualification as to knowledge shall apply to the entire representation or warranty and any additional qualification as to knowledge within a given representation or warranty shall be deemed to be eliminated. The Disclosure Schedule shall be executed by the Parties and shall be arranged in paragraphs corresponding to the numbered and lettered paragraphs contained in this Article II, and the disclosures in any paragraph of the Disclosure Schedule shall qualify other paragraphs in this Article II only to the extent it is clear from a reading of the disclosure that such disclosure is applicable to such other paragraphs.
Representations and Warranties of the Company and the Holders. The Company and each of the Holders, jointly and severally, hereby represent and warrant to the Purchaser that the statements contained in this Section 2 are true and correct, except as set forth in the disclosure schedules delivered by the Company, the Partnership and the Holders on or before the date of this Agreement (the "Seller Disclosure Schedule"). The Seller Disclosure Schedule shall be arranged in sections corresponding to the numbered and lettered sections contained in this Section 2. The disclosure in any section, however, shall be deemed to constitute disclosure for all sections in this Article 2.
Representations and Warranties of the Company and the Holders. The Company and the Holders jointly and severally represent and warrant to AVT, which representations and warranties will survive the Closing to the extent provided herein, as follows in this Article IV, except as set forth on a Schedule referencing the applicable section of this Article including in the Company Disclosure Memorandum attached hereto as Exhibit D. ---------
