REPRESENTATIONS AND WARRANTIES OF THE COMPANY AND THE SECURITYHOLDERS. The Company and each Securityholder hereby represent and warrant as of the date of this Agreement and as of the Closing Date (except for the representations and warranties that by their terms refer to a specific date, which representations and warranties shall be made solely as of the specified date) to Purchaser that the statements contained in this Article III made by the Company and the Securityholders are correct and complete, except as provided in the Disclosure Schedule as Exhibit “C” (the “the Disclosure Schedule”) accompanying this Agreement with reference to the applicable section of this Article III to which the disclosures on such schedule relate; it being understood that the listing of an item in one section of the Disclosure Schedule pertaining to the representations and warranties will be deemed to be a listing in another section or sections of the Disclosure Schedule pertaining to the representations and warranties if such disclosure is reasonably apparent on its face to be applicable to such other section or sections. Each representation, warranty, covenant and agreement contained herein will have independent significance. Accordingly, if any representation, warranty, covenant or agreement contained herein is breached, the fact that there exists another representation, warranty, covenant or agreement relating to the same subject matter (regardless of the relative levels of specificity) will not detract from or mitigate the breach of the first representation, warranty, covenant or agreement.
