REPRESENTATIONS AND WARRANTIES OF THE COMPANY, THE COMPANY SUBSIDIARY AND THE ACQUIRER. Each of the Company, the Company Subsidiary and the Acquirer, severally and jointly with each other (and Parent solely with respect to the representations in Sections 2.10, 2.12, 2.13 and 2.15, in each case with respect to the Transferred Assets) hereby represents and warrants to the Investor and the Parent (only with respect to the representations set forth in Sections 2.1 (Organization), 2.2 ( Capitalization), 2.3 (Authorization) and 2.4 (Valid Issuance of Shares)), that, except as set forth on the Disclosure Schedule delivered to the Investor and the Parent on the date hereof (the “Disclosure Schedule”), which exceptions shall be deemed to be part of the representations and warranties made hereunder, the following representations are true, correct and complete as of the date hereof and as of the Closing (as if made on the Closing Date); except, in each case, as to such representations and warranties that address matters as of a particular date, which are true, correct and complete only as of such date. The Disclosure Schedule shall be arranged in sections and subsections corresponding to the numbered and lettered sections and subsections contained in this Section 2, and the information set forth in any section or subsection of the Disclosure Schedule shall apply to and qualify (a) the representation and warranty set forth in this Agreement to which it corresponds, and (b) whether or not an explicit reference or cross-reference is made, each other representation and warranty set forth in this Agreement for which it is readily apparent on its face to a reasonable person who has no knowledge of the disclosed subject matter that such information is relevant to such other section. For all purposes of this Article 2, knowledge of the Company shall also include knowledge of the Parent.
