REPRESENTATIONS AND WARRANTIES OF THE PURCHASER GROUP. Each member of the Purchaser Group severally but not jointly, hereby represents and warrants to the Sellers, as of the date hereof, as follows:

Each of the Purchaser and Bridgeway is an entity existing and in good standing under the laws of the jurisdiction of its formation and has all requisite power and authority to own, lease and operate its assets and properties and conduct its business as now owned and conducted.
