Representations of the Backup Servicer. The Backup Servicer makes the following representations on which the Insurer shall be deemed to have relied in executing and delivering the Note Policy and on which the Issuer is deemed to have relied in acquiring the Receivables. The representations speak as of the execution and delivery of this Agreement and as of the Closing Date, and shall survive the sale of the Receivables to the Issuer and the pledge thereof to the Trust Collateral Agent pursuant to the Indenture.
Representations of the Backup Servicer. The Backup Servicer hereby represent and warrant to the parties hereto that as of the date hereof each of the representations and warranties contained in Article 3 of the Agreement and any other Transaction Document to which it is a party are true and correct as of the date hereof and after giving effect to this Amendment (except to the extent that such representations and warranties relate solely to an earlier date, and then are true and correct as of such earlier date) and that no Backup Servicer Event of Default has occurred and is continuing as of the date hereof and after giving effect to this Amendment.
