Lessee’s legal name is as shown in the preamble of this Lease; and Lessee’s Federal Employer Identification Number and organizational number are as set forth under Lessee’s signature. Within the previous six (6) years, Lessee has not changed its name, done business under any other name, or merged or been the surviving entity of any merger, except as disclosed to Lessor in writing.

(b) The Lease Documents have been duly authorized by all necessary action consistent with Lessee’s form of organization, do not require the approval of, or giving notice to, any governmental authority, do not contravene or constitute a default under any applicable law, Lessee’s organizational documents, or any material agreement, indenture, or other instrument to which Lessee is a party or by which it may be bound, and constitute legal, valid and binding obligations of Lessee enforceable against Lessee, in accordance with the terms thereof.

REPRESENTATIONS, WARRANTIES AND AGREEMENTS OF LESSEE. Lessee represents, warrants and agrees that, as of the effective date of this Master Lease and of each Lease Schedule:
REPRESENTATIONS, WARRANTIES AND AGREEMENTS OF LESSEE. Lessee covenants, represents and warrants to Lessor (which warranties and covenants shall survive the execution hereof and will continue through the Expiration Date) that: (i) Lessee is a corporation duly organized and existing in good standing under the laws of the State of Nevada; is duly qualified to do business wherever necessary to carry on its present business and operations and to perform its obligations under this Lease; (ii) this Lease and the necessary documentation relating thereto, when executed by Lessee, will have been duly authorized by all necessary corporate action on the part of Lessee, and does not require any stockholder approval, and does not contravene any law binding on Lessee or contravene Lessee's Certificate of Incorporation or By-Laws, or any indenture, loan agreement, credit agreement, or other contractual agreement to which Lessee is a party or by which it is bound; (iii) neither the execution and delivery by Lessee of this Lease, nor the leasing of the Aircraft, nor the performance by Lessee of any of its obligations nor compliance with any of its covenants hereunder, require the consent or approval of, or the giving of notice to, the FAA, or any other federal, state or foreign governmental authority; (iv) this Lease, when entered into and delivered by Lessee, will constitute the legal, valid and binding obligations of Lessee, enforceable against the Lessee in accordance with the terms hereof; (v) there are no pending or threatened actions or proceedings before any court or administrative agency which may materially adversely affect Lessee's financial condition or operation, or the payment and performance of its obligations hereunder; (vi) the Aircraft shall be based and primarily used in the United States and the Aircraft will not be "used predominantly outside the United States" within the meaning of Section 168(g)(1)(A) of the Internal Revenue Code of the United States, as amended.; (vii) the chief place of business of Lessee is as set forth in the notice section hereto, and Lessee agrees to give the Lessor prior written notice of any relocation of said chief place of business from its present location; and (viii) the Principal Location of the Aircraft is as defined in Exhibit A attached hereto, and the Lessee agrees not to change such Principal Location without the consent of Lessor, which consent 6 shall not be unreasonably withheld.

Lessee represents, warrants and agrees that, as of the effective date of this Lease and of each Schedule: (a) Lessee has the form of business organization indicated, and is and will remain duly organized and existing in good standing under the laws of the state specified, under Lessee’s signature and is duly qualified to do business wherever necessary to perform its obligations under the Lease Documents, including, in the case of each Lessee that is maintaining or operating the Equipment in a jurisdiction, each such jurisdiction in which the Equipment is or will be located. Lessee’s legal name is as shown in the preamble of this Lease; and Lessee’s Federal Employer Identification Number and organizational number are as set forth under Lessee’s signature. Within the previous six (6) years, Lessee has not changed its name, done business under any other name, or merged or been the surviving entity of any merger, except as disclosed to Lessor in writing.

Lessee has the form of business organization indicated and is and will remain duly organized and existing in good standing under the laws of the state specified in Schedule No. 2 and is duly qualified to do business wherever necessary to perform its obligations under this Lease, including the jurisdiction of the Primary Hangar Location. Lessee's exact legal name is as shown in the caption of this Lease; Lessee's organizational identification number and the address of Lessee's mail, chief executive offices and principal place of business are all as respectively set forth in Schedule No.

Lessee represents, warrants and agrees that, as of the effective date of this Lease and of each Schedule: (a) Lessee has the form of business organization indicated, and is and will remain duly organized and existing in good standing under the laws of the place of organization specified, under Lessee’s signature and is duly qualified to do business wherever necessary to perform its obligations under the Lease Documents, including each jurisdiction in which the Equipment is or will be located. Xxxxxx’s legal name is as shown in the preamble of this Lease; and Xxxxxx’s Federal Employer Identification Number and organizational number are as set forth under Xxxxxx’s signature. Within the previous six (6) years, Lessee has not changed its name, done business under any other name, or merged or been the surviving entity of any merger, except as disclosed to Lessor in writing and the name change from “LeTV ENV Inc.” to Xxxxxx’s current name on August 18, 2014. Lessee covenants that it will inform Xxxxxx in writing prior to any changes in ownership or management of Lessee.
