Representations, Warranties and Covenants of the Depositor and the Trustee. (a) The Depositor hereby represents and warrants to the Trustee for the benefit of Certificateholders, as of the Closing Date, that immediately prior to the assignment of the Underlying Certificates to the Trustee, the Depositor had good and marketable title to, and was the sole owner of, each Underlying Certificate free and clear of any pledge, lien, encumbrance or other security interest and such assignment validly transfers ownership of the Underlying Certificates to the Trustee, free and clear of any pledge, lien, encumbrance or security interest.
