Common use of Reserve Data Clause in Contracts

Reserve Data. The natural gas reserve estimates of the Company Parties as of as of December 31, 2012 and 2013 contained in the most recent Preliminary Prospectus are derived from reports that have been prepared by Netherland, Xxxxxx and Associates, Inc., as set forth and to the extent indicated therein; and such estimates fairly reflect, in all material respects, the oil and natural gas reserves of the Company Parties, at the dates indicated therein and are in accordance, in all material respects, with Commission rules and guidelines that are currently in effect for oil and gas producing companies applied on a consistent basis throughout the periods covered. Any certificate signed by any officer of the Company and delivered to the Representative or counsel for the Underwriters in connection with the offering of the Stock shall be deemed a representation and warranty by the Company, as to matters covered thereby, to each Underwriter.
