Common use of Resignation by Executive Clause in Contracts

Resignation by Executive. (a) Executive may resign from Executive’s employment with the Company at any time, in accordance with Section 6.6, by giving notice as described in Section 7.1. (b) In the event Executive resigns from Executive’s employment with the Company for any reason other than Good Reason in accordance with Sections 6.1 or 6.2, Executive will not receive Severance Benefits, Change in Control Severance Benefits, or any other severance compensation or benefits, except that, pursuant to the Company’s standard payroll policies, the Company shall pay to Executive the Accrued Obligations.

Resignation by Executive. (a) Executive may resign from Executive’s employment with the Company at any time, in accordance with Section 6.6, time by giving notice as described in Section 7.1. (b) In the event Executive resigns from Executive’s employment with the Company for any reason (other than a resignation for Good Reason as described in accordance with Sections 6.1 or 6.2Section 6.4 below), Executive will not receive Severance Benefits, Change in Control Severance Benefits, Benefits or any other severance compensation or benefits, except that, pursuant to the Company’s standard payroll policies, the Company shall pay to Executive the Accrued Obligations.

Resignation by Executive. (a) Executive may resign from Executive’s employment with the Company at any time, in accordance with Section 6.6, time by giving notice as described in Section 7.1, and subject to the advance notice requirement set forth in Section 1.1 above. (b) In the event Executive resigns from Executive’s employment with the Company for any reason (other than a resignation for Good Reason as described in accordance with Sections 6.1 or 6.2Section 6.4 below), Executive will not receive Severance Benefits, Change in Control Severance Benefits, Benefits or any other severance compensation or benefits, except that, pursuant to the Company’s standard payroll policies, the Company shall pay to Executive the Accrued Obligations.

Resignation by Executive. (a) Executive may resign from Executive’s employment with the Company at any time, in accordance with Section 6.6, time by giving notice as described in Section 7.1. (b) In the event Executive resigns from Executive’s employment with the Company for any reason (other than a resignation for Good Reason as described in accordance with Sections 6.1 or 6.2Section 6.4 below), Executive will not receive Severance Benefits, Change in Control Severance Benefits, or any other severance compensation or benefits, except that, pursuant to the Company’s standard payroll policies, the Company shall pay to Executive the Accrued Obligations.

Resignation by Executive. (a) Executive may resign from Executive’s employment with the Company at any time, in accordance with Section 6.6, time by giving notice as described in Section 7.12.7. (b) In the event that Executive resigns from Executive’s employment with the Company for any reason Company, other than for Good Reason in accordance with Sections 6.1 or 6.2Reason, Executive will shall not receive Severance Benefitsa payment under any applicable short-term incentive compensation plan for the year in which termination occurs, Change in Control Severance Benefitsand shall not receive any severance payments, or any other severance compensation benefits or benefitscompensation, except that, pursuant to the Company’s standard payroll policies, the Company Executive shall pay to Executive the be paid and become eligible for any Accrued Obligations.

Resignation by Executive. (a) Executive may resign from Executive’s employment with the Company at any time, in accordance with Section 6.6, time by giving notice as described in Section 7.1notice. (b) In the event Executive resigns from Executive’s employment with the Company for any reason (other than a resignation for Good Reason as described in accordance with Sections 6.1 or 6.2Section 6.4 below), Executive will not receive Severance Benefits, Change in Control Severance Benefits, or any other severance compensation or benefits, except that, pursuant to the Company’s standard payroll policies, the Company shall pay to Executive the Accrued ObligationsObligations as required by law.

(b) In the event Executive resigns from Executive’s employment with the Company for any reason (other than a resignation for Good Reason as described in accordance with Sections 6.1 or 6.2Section 5.4 below), Executive will not receive Severance Benefits, Change in Control Severance Benefits, or any other severance compensation or benefits, except that, pursuant to the Company’s standard payroll policies, the Company shall pay to Executive the Accrued Obligations.

Resignation by Executive. (a) Executive may resign from Executive’s employment with the Company at any time, in accordance with Section 6.6, time by giving notice as described in Section 7.1. (b) In the event Executive resigns from Executive’s employment with the Company for any reason other than Good Reason in accordance with Sections 6.1 or 6.2reason, Executive will not receive the Severance Benefits, Change in Control the CIC Severance Benefits, or any other severance compensation or benefits, except that, pursuant to the Company’s standard payroll policies, the Company shall pay provide to Executive the Accrued Obligations.

(b) In the event Executive resigns from Executive’s employment as both Chairman and Chief Executive Officer with the Company for any reason other than Good Reason in accordance with Sections 6.1 or 6.2, Executive will not receive Severance Benefits, Change in Control Severance Benefits, or any other severance compensation or benefits, except that, pursuant to the Company’s standard payroll policies, the Company shall pay to Executive the Accrued Obligations.

(b) In the event Executive resigns from Executive’s employment with the Company before Goal Achievement for any reason other than Good Reason in accordance with Sections 6.1 or 6.2Section 6.1, Executive will not receive Severance Benefits, Change in Control Severance Benefits, Benefits or any other severance compensation or benefits, except that, pursuant to the Company’s standard payroll policies, the Company shall pay to Executive the Accrued Obligations.

Resignation by Executive. (a) Executive may resign from Executive’s employment with the Company at any time, in accordance with Section 6.6, time by giving notice as described in Section 7.14.7. Resignation by Executive. (a) Executive may resign from Executive’s 's employment with the Company at any time, in accordance with Section 6.6, by giving notice as described in Section 7.18.1. Resignation by Executive. (a) Executive may resign from Executive’s employment with the Company at any time, in accordance with Section 6.6, by giving notice as described in Section 7.1. (b) In the event Executive resigns from Executive’s employment (as both Chairman and Chief Executive Officer) with the Company for any reason other than Good Reason in accordance with Sections 6.1 or 6.2, Executive will not receive Severance Benefits, Change in Control Severance Benefits, or any other severance compensation or benefits, except that, pursuant to the Company’s standard payroll policies, the Company shall pay to Executive the Accrued Obligations.
