RESIGNATION/TERMINATION. The Company shall cause to be mailed promptly (by first class mail, postage prepaid) to each registered Holder at such HolderXxxxxx’s last address as shown on the register of the Company, at the Company’s expense, a copy of such notice of resignation or notice of removal, as the case may be. Upon such resignation or removal the Company shall promptly appoint in writing a new warrant agent. If the Company shall fail to make such appointment within a period of thirty (30) calendar days after it has been notified in writing of such resignation by the resigning Warrant Agent or after such removal, then the Holder of any Warrant may apply to any court of competent jurisdiction for the appointment of a new warrant agent. A resignation or removal of the Warrant Agent and appointment of a successor Warrant Agent will become effective only upon the successor Warrant Agent’s acceptance of appointment. Pending appointment of a successor to the Warrant Agent, either by the Company or by such a court, the duties of the Warrant Agent shall be carried out by the Company. RESIGNATION/TERMINATION. Section 1: The Warrant Agent may resign its duties Nurse shall provide at least four (4) weeks written notice of resignation, to his/her immediate supervisor. Time off requested after an employee gives notice of resignation will not be included in the required minimum notice period. Employees who fail and/or refuse to provide the requisite notice shall be considered to have resigned not in good standing. An employee who voluntarily resigns (with at least 4 weeks’ notice) or who is terminated, for just cause, following successful completion of the introductory period, will only receive payment for any accrued but unused vacation, personal and be discharged from all further duties compensatory time and liabilities hereunder (except liabilities arising shall exclude any accrued sick time. Termination pay will include vacation, personal and compensatory time and shall exclude any accrued sick time. If a Nurse leaves the employ of the Employer prior to resignation as a result the expiration of said four (4) week period without the consent of the Warrant AgentEmployer, the difference in time to make up the said (4) week period shall be charged against accrued vacation and personal time; provided, however, that if circumstances beyond the control of the Nurse require her/him to leave the employ of the Employer prior to the four (4) week period, i.e., loss of driver’s bad faithlicense, gross negligence transfer of spouse with less than four (4) weeks’ notice, then the accrued vacation and personal time will not be charged. The term “beyond the control of the Nurse” shall not include a demand from prospective employer that said Nurse commence work on any particular date.
Section 2: Termination pay shall include any accrued vacation, personal days and compensatory time.
A. No employee who has completed her/his confirmation period shall be disciplined or willful misconduct suspended except for just cause.
B. The Agency will notify the Union in writing of any discharge within two (which bad faith2) weekdays from the time of discharge. If the Union desires to contest the discharge, gross negligence or willful misconduct must be determined by a final, non-appealable judgment of a court of competent jurisdiction)) after giving thirty (30) calendar days’ prior it shall give written notice to the CompanyAgency within five (5) weekdays from receipt of notice of discharge. RESIGNATION/TERMINATION. Section 1: The Warrant Agent Nurse shall provide at least four (4) weeks written notice of resignation, to his/her immediate supervisor. Employees may resign its duties be able to apply unused vacation, personal or compensatory time as part of the notice period at management’s discretion. An employee who voluntarily resigns (with at least 4 weeks notice) or who is terminated –for just cause-following successful completion of the introductory period, will only receive payment for any accrued but unused vacation, personal and be discharged from all further duties compensatory time and liabilities hereunder (except liabilities arising shall exclude any accrued sick time. Termination pay will include vacation, personal and compensatory time and shall exclude any accrued sick time. If a Nurse leaves the employ of VNACJ prior to resignation as a result the expiration of said four (4) week period without the consent of VNACJ, the difference in time to make up the said (4) week period shall be charged against accrued vacation and personal time; provided, however, that if circumstances beyond the control of the Warrant AgentNurse require her/him to leave the employ of VNACJ prior to the four (4) week period, i.e., loss of driver’s bad faithlicense, gross negligence transfer of spouse with less than four (4) week notice, then the accrued vacation and personal time will not be charged. The term “beyond the control of the Nurse” shall not include a demand from prospective employer that said Nurse commence work on any particular date.
Section 2: Involuntary termination--For just cause, VNACJ may terminate a Nurse’s employment by either two (2) weeks’ salary or willful misconduct two (which bad faith2) weeks written notification (including vacation, gross negligence personal, or willful misconduct must compensatory time, at the option of VNACJ. Termination pay shall include any accrued vacation, personal days and compensatory time.
A. No employee who has completed her/his confirmation period shall be determined by a finaldisciplined or suspended except for just cause.
B. The Agency will notify the Union in writing of any discharge within two (2) weekdays from the time of discharge. Pending appointment of a successor to the Warrant Agent, either by the Company or by such a court, the duties of the Warrant Agent shall be carried out by the Company. Any successor warrant agent, whether appointed by the Company or by such a court, shall be a Personcorporation, incorporated under the laws of the United States or of any state State thereof and authorized under such laws to conduct a shareholder services businessexercise corporate trust powers, be subject to supervision and examination by a Federal or state State authority, and have a combined stated capital and capital surplus of not less than $100,000,000 50,000,000 as set forth in its most recent published annual report of condition; or in the case of such capital and surplus requirement, a controlled affiliate of such a Person meeting such capital and surplus requirement. After acceptance in writing of such appointment by the new Warrant Agent, such successor Warrant Agent warrant agent it shall be vested with the same powers, rights, duties and responsibilities under this Agreement as if it had been originally named herein as the Warrant Agent, without any further assurance, conveyance, act or deed; but if for any reason it shall be necessary or expedient to execute and deliver any further assurance, conveyance, act or deed, the same shall be done at the expense of the Company and shall be legally and validly executed and delivered by the resigning or removed Warrant Agent. Not later than the effective date of any such appointment, appointment the Company shall send file notice thereof to with the resigning or removed Warrant Agent and shall forthwith cause a copy of such notice to be mailed (by first classclass mail, postage prepaid) to each registered Holder holder of a Warrant at such Holder’s holder's last address as shown on the register of the Company. Failure to give any notice provided for in this Section 12(j)15.11, or any defect in any such notice, shall not affect the legality or validity of the resignation of the Warrant Agent or the appointment of a successor Warrant Agentnew warrant agent, as the case may be.
