Common use of Resignation; Termination Clause in Contracts

Resignation; Termination. XXXXXXXX shall serve as Airport Director at the pleasure of the CEO. This AGREEMENT may be terminated “at will” by either XXXXXXXX or the CEO at any time, and without notice. Upon termination of this AGREEMENT, XXXXXXXX’ authority as the Airport Director shall immediately terminate and revert to the BOS. XXXXXXXX is advised and, with her signature below, xxxxxx acknowledges and agrees that she shall have none of the due process rights of a regular, full-time COUNTY employee. As a condition of her appointment, XXXXXXXX knowingly, willingly, and voluntarily gives up, waives, and disclaims any and all rights she may have, express or implied, to any notice and/or hearing either before or after termination of this AGREEMENT, and to any continued employment with the COUNTY after termination of this AGREEMENT. In the event the CEO terminates this AGREEMENT prior to the EXPIRATION DATE, XXXXXXXX shall receive from the COUNTY a lump sum severance payment, equal to the sum of 90 calendar days of salary, payable as wages, less any applicable taxes and deductions, and the COUNTY’S share of the costs of XXXXXXXX’ health insurance premiums. This AGREEMENT shall terminate automatically, without further action of the CEO, and XXXXXXXX shall not be entitled to this or any other severance package from the COUNTY, if: (1) XXXXXXXX voluntarily resigns her employment; or (2) the COUNTY terminates this AGREEMENT prior to the EXPIRATION DATE for “good cause” under the legal standard set forth in Cotran x. In the event the CEO terminates BOARD decides to terminate this AGREEMENT prior to within one year of the EXPIRATION DATEEFFECTIVE DATE of this AGREEMENT, XXXXXXXX XXXXXX shall receive from the COUNTY a lump sum severance paymentpackage consisting of 12 months of salary only, equal to the sum of 90 calendar days of salary, payable paid as wages, less any applicable taxes and taxes, deductions, and the COUNTY’S share of the costs of XXXXXXXX’ health insurance premiumsor other required contributions, such as deductions for pension, medical, or other Executive Manager benefits. This AGREEMENT shall terminate automaticallyHowever, without further action of the CEO, and XXXXXXXX XXXXXX shall not be entitled to this or any other severance package from the COUNTY, if: COUNTY if (1) XXXXXXXX she voluntarily resigns her employment; or (2) the COUNTY terminates WALLAR elects to apply for a pension or similar defined-benefit retirement from any public pension system; or (3) this AGREEMENT prior is terminated by the BOARD more than one year after the EFFECTIVE DATE of this AGREEMENT. Thus, and by way of example, if the BOARD elects to terminate this AGREEMENT in August 2014, XXXXXX shall not be entitled to any severance package, and shall be entitled to receive only a lump sum payment for her accrued, unused Annual Leave balance, in an amount to be determined in accordance with the EXPIRATION DATE for “good cause” under the legal standard formula set forth in Cotran x. This AGREEMENT shall terminate automatically, without further action of the CEOBOARD, and XXXXXXXX FAIGIN shall not be entitled to this or any other severance package from the COUNTY, if: (1) XXXXXXXX FAIGIN voluntarily resigns her his employment; or or, (2) the COUNTY BOARD terminates this AGREEMENT prior to the EXPIRATION DATE for “good cause” based on the action or inaction of FAIGIN, under the legal standard set forth in Cotran x.
