Restrictions on Sale, Encumbrance, and Other Acts a. Except with the City’s prior written approval, which shall not be unreasonably withheld, Owner shall not make any sale, encumbrance, hypothecation, assignment, refinancing, pledge, conveyance, or transfer in any other form of the Property or the Affordable Housing Development or of any of its interest in either of them.
Restrictions on Sale, Encumbrance, and Other Acts. (1) The Borrower shall not make any sale, encumbrance, hypothecation, assignment, pledge, conveyance, or transfer in any form of the Property or of any of its interest therein, except with the prior written approval of the County Manager or her designee.
Restrictions on Sale, Encumbrance, and Other Acts. Owner shall not sell, assign, transfer or lease the Property or the Shelter, or any portion thereof, except with City’s prior written approval, in City’s reasonable discretion. The Owner and City acknowledge and agree that Owner intends to lease the Shelter to a separate entity that will operate the Shelter in accordance with the terms of this Covenant and the Operating Plan developed and approved as described in Exhibit B (the “Operator”). The Operator of the Shelter must be approved by the City, which approval shall not be unreasonably withheld by the City. The parties agree and acknowledge that Fourth and Hope is hereby approved as the initial Operator of the Shelter. City further may grant its approval for any such sale, assignment, transfer or lease subject to such terms and conditions as may be necessary to preserve or establish the fiscal and operational integrity of the Shelter. In considering whether to approve any proposed sale, transfer, assignment or encumbrance on the Property, City shall take into account the Owner’s financial investment in the property regarding new construction, maintenance and operation, including whether refinancing of the Property is appropriate to fund such costs.

  • Compliance with State and Other Laws The CONSULTANT specifically agrees that in performance of the services herein enumerated by it or by a subcontractor or anyone acting in behalf of either, that it or they will exercise the standard of care to comply with state, federal and local statutes, ordinances, and regulations applicable to the performance of this Agreement.

Each Holder receiving a Suspension Notice hereby agrees that it will either (i) destroy any Prospectuses, other than permanent file copies, then in such Holder's possession which have been replaced by the Company with more recently dated Prospectuses or (ii) deliver to the Company (at the Company's expense) all copies, other than permanent file copies, then in such Holder's possession of the Prospectus covering such Transfer Restricted Securities that was current at the time of receipt of the Suspension Notice. The time period regarding the effectiveness of such Registration Statement set forth in Section 3 or 4 hereof, as applicable, shall be extended by a number of days equal to the number of days in the period from and including the date of delivery of the Suspension Notice to the date of delivery of the Recommencement Date.
