Common use of Retained Rights; Requirements Clause in Contracts

Retained Rights; Requirements. Any and all licenses granted hereunder are subject to: (a) HOSPITAL’s and HOSPITAL’s AFFILIATES’ right to make and to use the subject matter described and/or claimed in the PATENT RIGHTS and to permit others at academic, government and not-for-profit institutions to make and use the subject matter described and/or claimed in PATENT RIGHTS for research and educational purposes; and (b) for PATENT RIGHTS supported by federal funding, the rights, conditions and limitations imposed by U.S. law (see 35 U.S.C. § 202 et seq. and regulations pertaining thereto), including without limitation: (i) the royalty-free non-exclusive license granted to the U.S. government; and (ii) the requirement that any PRODUCTS used or sold in the United States shall be manufactured substantially in the United States.

Any and all licenses granted hereunder are subject to: (a) HOSPITAL’s and HOSPITAL’s AFFILIATES’ right to make and to use the subject matter described and/or claimed in the PATENT RIGHTS and to permit others at academic, government and not-for-profit institutions to make and use the subject matter described and/or claimed in PATENT RIGHTS for research and educational purposes; and (b) for PATENT RIGHTS supported by federal funding, the rights, conditions and limitations imposed by U.S. law (see 35 U.S.C. § 202 et seq. and regulations pertaining thereto), including without limitation: (i) the royalty-free non-exclusive license granted to the U.S. government; and (ii) the requirement that any PRODUCTS used or sold in the United States shall be manufactured substantially in the United States, provided that, at the request of COMPANY, HOSPITAL shall use reasonable efforts to assist COMPANY in seeking a waiver of such requirement.

Any and all licenses granted hereunder are subject to: (a) HOSPITALthe right of Hospital and Hospital’s Affiliates and HOSPITAL’s AFFILIATES’ right academic government and research collaborators to make and to use the subject matter described and/or claimed in the PATENT RIGHTS and to permit others at academic, government and not-for-profit institutions to make and use the subject matter described and/or claimed in PATENT RIGHTS Patent Rights for research and educational purposes; provided however, that such research and educational purposes shall not include the production or manufacture of Products for sale and to the extent such research and educational use does not conflict with the provisions of this Agreement; and (b) for PATENT RIGHTS Patent Rights supported by federal funding, the rights, conditions and limitations imposed by U.S. law (see 35 U.S.C. § 202 et seq. and regulations pertaining thereto), including without limitation: (i) the any royalty-free free, non-exclusive license granted to the U.S. government; and (ii) the any requirement that any PRODUCTS Product used or sold in the United States shall be manufactured substantially in the United States.

Any and all licenses granted hereunder are subject to: (a) HOSPITALthe right of Hospital, Hospital’s Affiliates, MIT and HOSPITAL’s AFFILIATES’ right other academic, government and not-for-profit institutions to make make, have made, and to use the subject matter described and/or claimed in the PATENT RIGHTS and to permit others at academicPatent Rights for research, government and not-for-profit institutions to make and use the subject matter described and/or claimed in PATENT RIGHTS for research teaching, and educational purposespurposes (such research, teaching and educational purposes shall not include the production and manufacture of Products or Processes for sale); and (b) for PATENT RIGHTS Patent Rights supported by federal funding, the rights, conditions and limitations imposed by U.S. law (see 35 U.S.C. § 202 et seq. and regulations pertaining thereto), including without limitation: (i) the royalty-free non-exclusive license granted to the U.S. government; and (ii) the requirement (to the extent required by law) that any PRODUCTS Products used or sold in the United States shall be manufactured substantially in the United States.
