Retention of Trademark Ownership. (a) TPC acknowledges and agrees that Citigroup, and/or such other member of the Citigroup Affiliated Group referred to in the first sentence of Section 3.1(a) hereof, as the case may be, is the owner of all of the right, title, and interest in and to the Citi Marks and all goodwill associated therewith throughout the world and acknowledges the validity of the Citi Marks and of all trademark and service mark registrations and applications of each member of the Citigroup Axxxxiated Group pertaining thereto. TPC agrees that it shall, and shall cause each Designated TPC Sublicensee to, uphold the goodwill inherent in the Citi Marks and to assist Citigroup at Citigroup's expense to protect the rights of Citigroup and the other members of the Citigroup Affiliated Group therein. All use of the Citi Marks by TPC and all Designated TPC Sublicensees (including all past, present and future use), and the goodwill generated thereby, shall inure to the benefit of Citigroup and shall not vest in TPC or in any Designated TPC Sublicensee. TPC shall not, directly or indirectly, contest or challenge the validity or enforceability of the Citi Marks and/or Citigroup's ownership thereof. To the extent that TPC or any Designated TPC Sublicensee is deemed to have any ownership rights in the Citi Marks, at Citigroup's written request, TPC shall, and shall cause each such Designated TPC Sublicensee to, assign such rights to Citigroup or to a member of the Citigroup Affiliated Group designated by Citigroup.

Retention of Trademark Ownership. Assurant acknowledges and agrees that Fortis, and/or such other member of the Fortis Group referred to in the first sentence of Section 2.01(a) hereof, as the case may be, is the owner of all of the right, title, and interest in and to the Fortis Marks and all goodwill associated therewith throughout the world and acknowledges the validity of the Fortis Marks and of all trademark and service xxxx registrations and applications of each member of the Fortis Group pertaining thereto. Assurant agrees that it shall, and shall cause each Assurant Subsidiary and each Designated Assurant Sublicensee to, uphold the goodwill inherent in the Fortis Marks and to assist Fortis (at Fortis' expense) to protect the rights of Fortis and the other members of the Fortis Group therein. All use of the Fortis Marks by Assurant, any Assurant Subsidiary and any Designated Assurant Sublicensees (including all past, present and future use), and the goodwill generated thereby, shall inure to the benefit of Fortis and shall not vest in Assurant, any Assurant Subsidiary or in any Designated Assurant Sublicensee. Assurant shall not, directly or indirectly, contest or challenge the validity or enforceability of the Fortis Marks and/or Fortis' ownership thereof. To the extent that Assurant, any Assurant Subsidiary or any Designated Assurant Sublicensee is deemed to have any ownership rights in the Fortis Marks, Assurant shall, and shall cause each such Subsidiary or Designated Assurant Sublicensee to, assign such rights to Fortis or to a member of the Fortis Group designated by Fortis. To the extent it has not already done so prior to the date of this Agreement, Assurant together with its Subsidiaries hereby transfers and assigns any rights in the Fortis Marks that it may have to Fortis and agrees to take all actions and make any filings required to effect such assignment and transfer within 10 days of the date of this Agreement. After the date of this Agreement, if Assurant or Fortis identifies additional marks that were in use as of the date of this Agreement and should have been included in Schedule 2 hereto, then the parties agree to amend Schedule 2 to include such marks in the Fortis License and such marks shall be deemed to be Fortis Marks for all purposes under this Agreement.

  • Protection of Trademarks Such Grantor shall, with respect to any Trademarks that are material to the business of such Grantor, use commercially reasonable efforts not to cease the use of any of such Trademarks or fail to maintain the level of the quality of products sold and services rendered under any of such Trademarks at a level at least substantially consistent with the quality of such products and services as of the date hereof, and shall use commercially reasonable efforts to take all steps reasonably necessary to ensure that licensees of such Trademarks use such consistent standards of quality, except as would not reasonably be expected to have a Material Adverse Effect.

  • Protection of Trade Secrets The Executive agrees to maintain in strict confidence and, except as necessary to perform his duties for the Employer, the Executive agrees not to use or disclose any Trade Secrets of the Employer during or after his employment. “Trade Secret” means information, including a formula, pattern, compilation, program, device, method, technique, process, drawing, cost data or customer list, that: (i) derives economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by, other persons who can obtain economic value from its disclosure or use; and (ii) is the subject of efforts that are reasonable under the circumstances to maintain its secrecy.

  • Use of Trademarks Distributor shall not be permitted to print, post or otherwise use letterhead, calling cards, literature, signage or other representations in the name of Supplier (or any of its affiliates) or to represent itself as Supplier (or any of its affiliates) or make commitments on behalf of Supplier (or any of its affiliates) without the express, written permission of Supplier. Distributor expressly agrees that no license to use Supplier (or any of its affiliates’ trademarks, trade names, service marks or logos (collectively, the “Supplier Trademarks”) is granted by this Agreement. Distributor may, however, indicate in its advertising and marketing materials that it is a distributor for Supplier Products and may as necessary, incidentally use the Supplier Trademarks in its sales/marketing efforts. Upon request by Supplier, Distributor will place proper trademark, copyright and patent notices in its advertisements, promotional brochures and other marketing materials for Supplier Products. Supplier reserves the right to review Distributor’s marketing and sales materials prior to their publication or use. No rights shall inure to Distributor as a result of any such use or reference, and all such rights, including goodwill shall inure to the benefit of and be vested in Supplier. Upon termination of this Agreement for any reason, Distributor will immediately cease using the Supplier Trademarks as allowed in this Section and shall immediately take all appropriate and necessary steps to (a) remove and cancel any listings in public records, telephone books, other directories, remove any visual displays or literature at Distributor’s location, the Internet and elsewhere that would indicate or would lead the public to believe that Distributor is the representative of Supplier (or any of its affiliates) or Supplier’s (or any of its affiliates’) products or services; and (b) cancel, abandon or transfer (as requested by Supplier) any product licenses, trade name filings, trademark applications or registrations or other filings with the governments of the Territory (whether or not such filings were authorized by Supplier) that may incorporate the Supplier Trademarks or any marks or names confusingly similar to the Supplier Trademarks. Upon Distributor’s failure to comply with this paragraph, Supplier may make application for such removals, cancellations, abandonments or transfers in Distributor’s name. Distributor shall render assistance to and reimburse Supplier for expenses incurred in enforcing this paragraph.

  • Ownership of Trademarks Each Party acknowledges the ownership right of the other Party in the Marks of the other Party and agrees that all use of the other Party's Marks will inure to the benefit, and be on behalf, of the other Party. Each Party acknowledges that its utilization of the other Party's Marks will not create in it, nor will it represent it has, any right, title, or interest in or to such Marks other than the licenses expressly granted herein. Each Party agrees not to do anything contesting or impairing the trademark rights of the other Party.

Employee hereby assigns to Employer any and all rights Employee might otherwise have in and to any such Developments, and any and all proprietary rights of any kind thereto, including without limitation all rights relating to patents, copyrights, trade secrets, and trademarks.

  • PROTECTION OF GOODWILL You acknowledge that the Company is providing you with this Restricted Stock Award in connection with and in consideration for your promises and covenants contained herein. Specifically, in consideration for the Restricted Stock Award, which you acknowledge provides a material incentive for you to grow, develop and protect the goodwill and confidential and proprietary information of the Company, you agree that the Restricted Stock Award (itself and in combination with any other awards made to you) constitutes independent and sufficient consideration for all non-competition, non-solicitation and confidentiality covenants between you and the Company, and agree and acknowledge that you will fully abide by each of such covenants. You further acknowledge that your promise to fully abide by each of the protective covenants referenced above is a material inducement for the Company to provide you with the Restricted Stock Award.
