Retirement Defined. For the purposes of this Agreement, the term “Retirement” shall mean when Executive is fifty-five (55) years of age or older and has been employed by the Company for five (5) or more years after the date of the IPO and such Executive terminates employment for no other reason.

Retirement Defined. For the purposes of this Agreement, the term “Retirement” shall mean when Executive is fifty-five (55) years of age or older and has been employed by the Company for five (5) or more years after the date of the IPO and such Executive terminates employment for no reason other reasonthan the expiration of the three-year Employment Period, or the one-year renewal thereof, provided that neither party shall be obligated to renew the Employment Period as provided in Section 1 above.
