RETURN OF TSP VEHICLES. As a condition precedent to returning the TSP Vehicle upon expiration of each Short-Term TSP Lease or upon termination of this Master Lease and after having completed and submitted all required pre- and post-inspection procedures, including, but not limited to, all Inspection Photographs and Claims procedures (as set forth in the TSP Documentation), you agree to physically (and by way of digital facilitation, via the TSP Platform) return each TSP Vehicle to the TSP Vehicle Drop-Off Location clean, dry, and free of odor, debris, pests, insects, contamination, or infestation, and in at least the same good condition as received, on the due date, and at the time and TSP Vehicle Drop-Off location as specified in each Short-Term TSP Lease. Unless the Master Lease or an individual Short-Term TSP Lease is terminated by Ryder, the term of the Short-Term TSP Lease shall continue until the lease term is terminated by return of the TSP Vehicle to the TSP Vehicle Drop-Off Location and the selection of the “End Lease” option on the TSP Software. In addition to all other charges due and remedies available to Ryder under this Master Lease, BMC WILL BE LIABLE FOR A LATE CHARGE IF THE TSP VEHICLE IS NOT RETURNED TO THE TSP VEHICLE DROP-OFF LOCATION AT THE TIME SPECIFIED IN THE SHORT-TERM TSP LEASE. A CLEANING SERVICE CHARGE MAY APPLY IF THE TSP VEHICLE IS NOT RETURNED CLEAN. If BMC does not return the TSP Vehicle within three (3) days after the due date and time specified for its return or upon Ryder’s demand, if BMC disables the geo-location component of the TSP software, or if information provided to Ryder by BMC is false, Ryder may consider the TSP Vehicle stolen and pursue all appropriate legal action, both criminal and civil, to recover the TSP Vehicle. Ryder may additionally remotely deactivate your access to and ability to operate the TSP Vehicle and may retrieve the TSP Vehicle from your possession. BMC AGREES NOT TO SUBLEASE OR RELET THE TSP VEHICLE OR ASSIGN THIS MASTER LEASE, AND ANY ATTEMPT TO DO ANY OF THE FOREGOING SHALL BE NULL AND VOID AND CONSTITUTE A MATERIAL BREACH OF THIS MASTER LEASE.
