Returning Officer. There shall be a Returning Officer for each election. The Returning Officer shall be appointed by the Original Trustees not less than five (5) month before Election Date and may be an employee of the Company. A Trustee or Director of the Company or any subsidiary may not be a Returning Officer. In the event of the Trustees failing to appoint a Returning Officer as required by this Rule the Directors of the Company may appoint a Returning Officer.
