Review of Documents by Buyer. A draft of the Direct Agreement shall be provided to Buyer as soon as available in draft form, but in no event shall the draft Direct Agreement be provided later than two (2) months prior to the then-scheduled Closing Date. Seller shall provide and make available the remainder of all the Finance Documents and the Project Documents for review by Buyer as soon as they are available in draft form, but in no event shall draft Finance Documents be provided later than forty-five (45) Days prior to the then-scheduled Closing Date. Buyer shall have forty-five (45) Days to review and comment on the Finance Documents and Buyer reviewed Project Documents. Seller may request that Buyer be allowed a shorter period for review of the Direct Agreement or other Finance Documents for good cause, and Buyer will use Reasonable Endeavors to accommodate such request where possible.
