Common use of Review of Reseller Compliance with this Agreement Clause in Contracts

Review of Reseller Compliance with this Agreement. 5.1 Lenovo may review Reseller’s books and records to determine compliance with this Agreement. Reseller shall make its records relating to this Agreement available to Lenovo or an independent auditor reasonably acceptable to Reseller. The reviews shall occur not more frequently than one (1) time in each twelve (12) month period during the Term of this Agreement. Each review shall be conducted at Reseller’s facility during normal business hours. Lenovo may make and retain copies of such records. In addition to the reviews described above, Lenovo may conduct a review of Reseller’s books and records at any time it has reason to believe that there has been or may be a material breach of this Agreement.
