Common use of Right to Change Appointment Clause in Contracts

Right to Change Appointment. The Parties acknowledge that the Independent Certifier may perform services that relate to matters in connection with the Concessionaire and the Funders and Contractor in addition to the functions of the Independent Certifier under this Agreement, and that either the Province or the Concessionaire may, at its option, acting reasonably, terminate the Independent Certifier Contract upon 30 days notice to the other and the Independent Certifier. If either the Province or the Concessionaire gives such notice, then the Province and the Concessionaire will pursuant to Section 13.1A.7 appoint a new Independent Certifier to perform the functions of the Independent Certifier under this Agreement. The Province and the Concessionaire agree that, notwithstanding the 30 days’ notice of termination, the Independent Certifier will continue on a day-to-day basis thereafter until a new Independent Certifier is appointed.
