Right to Convene Meetings. The Warrant Agent may at any time and from time to time, and shall on receipt of a written request of the Company or of a Warrantholders' Request, convene a meeting of the Warrantholders provided that the Warrant Agent has been provided with sufficient funds and is indemnified to its reasonable satisfaction by the Company or by the Warrantholders signing such Warrantholders' Request against the costs, charges, expenses and liabilities that may be incurred in connection with the calling and holding of such meeting. If within fifteen (15) Business Days after the receipt of a written request of the Company or a Warrantholders' Request, funding and indemnity given as aforesaid the Warrant Agent fails to give the requisite notice specified in Section 6.2 to convene a meeting, the Company or such Warrantholders, as the case may be, may convene such meeting. Every such meeting shall be held in the City of Toronto, Ontario or at such other place as may be approved or determined by the Warrant Agent.

Every such meeting shall be held in the City of Toronto, Ontario or at such other place as may be approved or determined by the Warrant Agent.

If within fifteen (15) Business Days after the receipt of a written request of the Company or a Warrantholders' Request, funding and indemnity given as aforesaid the Warrant Agent fails to give so call a meeting within five days after receipt of such written request of the requisite notice specified in Section 6.2 to convene a meetingCorporation or Warrantholders’ Request and the indemnity and funding given as aforesaid, the Company Corporation or such Registered Warrantholders, as the case may be, may convene such meeting. Every such meeting shall be held in the City of Toronto, Ontario in the Province of Ontario, or at such other place as may be approved or determined by the Warrant Agent.

If within fifteen (15) Business Days after the receipt of a written request of the Company or a Warrantholders' Request, funding and indemnity given as aforesaid the Warrant Agent fails to give so call a meeting within seven (7) days after receipt of such written request of the requisite notice specified in Section 6.2 to convene a meetingCorporation or such Warrantholders’ Request and the indemnity and funding given as aforesaid, the Company Corporation or such Registered Warrantholders, as the case may be, may convene such meeting. Every such meeting shall be held in the City of Toronto, Ontario in the Province of Ontario, or at such other place as may be approved or determined by the Warrant Agent.

If within fifteen (15) Business Days after the receipt of , convene a written request meeting of the Company or a Warrantholders' Request, funding and indemnity given as aforesaid . In the event of the Warrant Agent fails failing within 15 days after receipt of such Written Request of the Corporation or of a Warrantholders’ Request and of the required funds and indemnity as aforesaid to give the requisite notice specified in Section 6.2 to convene a meeting, the Company Corporation or such Warrantholders, as the case may be, may convene such meeting. Every such meeting shall be held in the City of Toronto, Ontario Ontario, or at such other place as may be approved or determined by the Warrant Agent.

The Special Warrant Agent may at any time and time, from time to time, and shall will on receipt of a written request of the Company or of a Special Warrantholders' ’ Request, convene a meeting of the Warrantholders provided that the Warrant Agent has been provided with sufficient funds and is upon being indemnified and funded to its reasonable satisfaction by the Company or by the Special Warrantholders signing who signed such Special Warrantholders' ’ Request against the costs, charges, expenses and liabilities that cost which may be incurred in connection with the calling and holding of such meeting, call and convene a meeting of the Special Warrantholders. If In the event of the Special Warrant Agent failing to so call a meeting within fifteen (15) Business Days seven days after the receipt of a such written request of the Company or a within thirty days after receipt of such Special Warrantholders' Request, funding ’ Request and indemnity and funding given as aforesaid the Warrant Agent fails to give the requisite notice specified in Section 6.2 to convene a meetingaforesaid, the Company or any of the Special Warrantholders who signed such Special Warrantholders’ Request, as the case may be, may call and convene such meeting. Every such meeting shall will be held in the City of Toronto, Ontario or at such other place as may be approved or determined by the Special Warrant AgentAgent and the Company.

Right to Convene Meetings. The Warrant Agent may Trustee may, at any time and from time to time, and shall on receipt of a written request of the Company Corporation or of a Warrantholders' Request, convene a meeting of the Warrantholders provided that the Warrant Agent Trustee has been provided with sufficient funds and is indemnified to its reasonable satisfaction by the Company Corporation or by the Warrantholders signing such Warrantholders' Request against the costs, charges, expenses and liabilities that which may be incurred in connection with the calling and holding of such meeting. If If, within fifteen (15) 15 Business Days after the receipt of a written request of the Company Corporation or a Warrantholders' Request, funding Request and indemnity given as aforesaid aforesaid, the Warrant Agent Trustee fails to give the requisite notice specified in Section 6.2 6.02 to convene a meeting, the Company Corporation or such Warrantholders, as the case may be, may convene such meeting. Every such meeting shall be held in the City of Toronto, Ontario Toronto or at such other place in Canada or the United States as may be approved or determined by the Warrant AgentTrustee.

If In the event of the Warrant Agent failing within fifteen (15) Business Days 15 days after the receipt of a such written request by the Corporation or of the Company or a Warrantholders' Request, funding Request and of the required funds and indemnity given as aforesaid the Warrant Agent fails to give the requisite notice specified in Section 6.2 to convene a meeting, the Company Corporation or such Warrantholders, as the case may be, may convene such meeting. Every such meeting shall be held in the City of Toronto, Ontario Ontario, or at such other place as may be approved or determined by the Warrant Agent.
