Common use of Right to Convene Meetings Clause in Contracts

Right to Convene Meetings. The Subscription Receipt Agent may at any time and from time to time, and shall on receipt of a written request of the Corporation or of a Receiptholders’ Request and upon being funded and indemnified to its reasonable satisfaction by the Corporation or by the Receiptholders signing such Receiptholders’ Request against the cost which may be incurred in connection with the calling and holding of such meeting, convene a meeting of the Receiptholders. In the event of the Subscription Receipt Agent failing to so convene a meeting within 10 days after receipt of such written request of the Corporation or such Receiptholders’ Request and indemnity given as aforesaid, the Corporation or such Receiptholders, as the case may be, may convene such meeting. Every such meeting shall be held in Toronto, Ontario or at such other place as may be determined by the Subscription Receipt Agent and approved by the Corporation.

In the event of the Subscription Receipt Agent failing to so convene call and hold a meeting within 10 seven (7) days after receipt of such written request of the Corporation Company or such Receiptholders’ Subscription Receiptholder’s Request and indemnity and funding given as aforesaid, the Corporation Company or such Receiptholdersholders, as the case may be, may convene call and hold such meeting. Every such meeting shall be held in Toronto, Ontario the City of Toronto or at such other place as may be approved or determined by the Subscription Receipt Agent and approved by the CorporationCompany.
