Risk Factors and Conflicts of Interest. The Purchaser has carefully read and understands the items described under “Risk Factors” section and “Certain Investment Structuring, Legal, Tax and Other Considerations” section, including “Conflicts of Interest”, set forth in Appendix C, and the manner in which profits and losses will be distributed in accordance with the Partnership Agreement. The Purchaser confirms that (i) it is aware that an investment in the Fund involves substantial risks and has determined that an investment in an Interest is a suitable investment for it, and (ii) it has such knowledge and experience in financial and business matters as to be capable of evaluating the merits of, and it is able to bear the economic risk of (including a complete loss thereto), its investment in the Fund.

Risk Factors and Conflicts of Interest. The purchase of Units involves significant risks and therefore should be undertaken only by qualified investors whose financial resources are sufficient to enable them to assume such risks and who have no need for liquidity in their investment. There can be no assurance that the Fund’s investment objectives will be achieved or that a member in the Fund (a “Member”) will receive a return of or on its invested capital. Capitalized terms used herein shall have the meanings ascribed to them in the body of the Subscription Agreement and Disclosure Statement to which this exhibit is attached (the “Subscription Agreement”). Prospective investors should carefully consider the risk factors set forth below, in addition to the other information set forth herein and attached hereto, before purchasing any of the Units offered hereby. Although the Manager and the Fund believe that the risks and uncertainties described below are the most material risks and uncertainties, they are not the only contingencies which may or may not occur. Additional risks not presently known to the Manager or the Fund or that they currently deem immaterial may also have a material adverse effect on the Company and the Project, results of operations or financial condition of the Company. The sequence in which these risk factors are presented in no way reflects any order of importance, chance or materiality.

  • Conflicts of Interest The Parties confirm that they have not offered, given, or accepted, nor intend to give at any time hereafter any economic opportunity, future employment, gift, loan, gratuity, special discount, trip, favor, service to the other in connection with this Agreement. Vendor affirms that, to the best of Vendor’s knowledge, this Agreement has been arrived at independently, and is awarded without collusion with anyone to obtain information or gain any favoritism that would in any way limit competition or give an unfair advantage over other vendors in the award of this Agreement. Vendor agrees that it has disclosed any necessary affiliations with Region 8 Education Service Center and the TIPS Department, if any, through the Conflict of Interest attachment provided in the solicitation resulting in this Agreement.

  • Conflicts of Interests The Company shall use its best efforts to ensure that the Company's employees, during the term of their employment with the Company, do not engage in activities that would result in a conflict of interest with the Company. The Company's obligations hereunder include, but are not limited to, requiring that the Company's employees devote their primary productive time, ability, and attention, to the business of the Company (provided, however, the Company's employees may engage in other business activity if such activity does not materially interfere with their obligations to the Company), requiring that the Company's employees enter into agreements regarding proprietary information and confidentiality and preventing the Company's employees from engaging or participating in any business that is in competition with the business of the Company.

  • No Conflicts of Interest A. Contractor represents and warrants that it has no actual or potential conflicts of interest in providing the requested goods or services to System Agency under this Contract or any related Solicitation and that Contractor’s provision of the requested goods and/or services under this Contract and any related Solicitation will not constitute an actual or potential conflict of interest or reasonably create an appearance of impropriety.
