Common use of Roles and Duties Clause in Contracts

Roles and Duties. Subject to the terms and conditions of this Agreement, Company shall employ Executive as its Chief Operating Officer reporting to Company’s Chief Executive Officer (“CEO”). The Executive shall have such duties and responsibilities as are reasonably determined by the Board of Directors and are consistent with the duties customarily performed by a Chief Operating Officer of a similarly situated company in the United States. Executive accepts such employment upon the terms and conditions set forth herein, and agrees to perform such duties and discharge such responsibilities to the best of Executive’s ability. During Executive’s employment, Executive shall devote all of Executive’s business time and energies to the business and affairs of Company. Notwithstanding the foregoing, nothing herein shall preclude Executive from (i) performing services for such other companies as Company may designate or permit; (ii) serving, with the prior written consent of the Board, which consent shall not be unreasonably withheld, as a member of the boards of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of non-competing businesses or charitable, educational or civic organizations; (iii) engaging in charitable activities and community affairs; and (iv) managing Executive’s personal investments and affairs; provided, however, that the activities set out in clauses (i), (ii), (iii) and (iv) shall be limited by Executive so as not to materially interfere, individually or in the aggregate, with the performance of Executive’s duties and responsibilities hereunder.

Roles and Duties. The Executive shall have such duties and responsibilities as are reasonably determined by the Board of Directors (“Board”) and are consistent with the duties customarily performed by a Chief Operating Officer CLO of a similarly situated company in the United States. Executive accepts such employment upon the terms and conditions set forth herein, and agrees to perform such duties and discharge such responsibilities to the best of Executive’s ability. During Executive’s employment, Executive shall devote all of Executive’s business time and energies to the business and affairs of Company. Notwithstanding the foregoing, nothing herein shall preclude Executive from from: (i) providing consulting services to Millendo Therapeutics US, Inc., up to a maximum of five (5) hours per week, through January 31, 2021; (ii) performing services for such other companies as Company may designate or permit; (iiiii) servingserving on the board of directors of the non-profit organization Heluna Health and, with the prior written consent of the Board, which consent shall not be unreasonably withheld, otherwise serving as a member of the boards of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of non-competing businesses or charitable, educational or civic organizations; (iiiiv) engaging in charitable activities and community affairs; and (ivv) managing Executive’s personal investments and affairs; provided, however, that the activities set out in clauses (i), (ii), (iii), (iv) and (ivv) shall be limited by Executive so as not to materially interfere, individually or in the aggregate, with the performance of Executive’s 's duties and responsibilities hereunder...

Roles and Duties. Executive accepts such employment upon the terms and conditions set forth herein, and agrees to perform such duties and discharge such responsibilities to the best of Executive’s ability. During Executive’s employment, Executive shall devote all of Executive’s business time and energies to the business and affairs of the Company. Notwithstanding the foregoing, nothing herein shall preclude Executive from (i) performing services for such other companies as the Company may designate or permit; (ii) serving, with the prior written consent of the Board, which consent shall not be unreasonably withheld, as a member of the boards of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of non-competing businesses or charitable, educational or civic organizations; (iii) engaging in charitable activities and community affairs; and (iv) managing Executive’s personal investments and affairs; provided, however, that the activities set out in clauses (i), (ii), (iii) and (iv) shall be limited by Executive so as not to materially interfere, individually or in the aggregate, with the performance of Executive’s duties and responsibilities hereunder.

During Executive’s employment, Executive shall devote all of Executive’s business time and energies to the business and affairs of the Company. Notwithstanding the foregoing, nothing herein shall preclude Executive from (i) performing services for such other companies as the Company may designate or permit; (ii) serving, with the prior written consent of the Board, which consent shall not be unreasonably withheld, as a member of the boards of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of non-competing businesses or charitable, educational or civic organizations; (iii) engaging in charitable activities and community affairs; and (iv) managing Executive’s personal investments and affairs; provided, however, that the activities set out in clauses (i), (ii), (iii) and (iv) shall be limited by Executive so as not to materially interfere, individually or in the aggregate, with the performance of Executive’s duties and responsibilities hereunder.

The Executive Employee shall have such duties and responsibilities as are reasonably determined by the Board of Directors (the “Board”) and are consistent with the duties customarily performed by a Chief Operating Officer an executive of a similarly situated company in the United StatesStates with a similar position. Executive Employee accepts such employment upon the terms and conditions set forth herein, and agrees to perform such duties and discharge such responsibilities to the best of ExecutiveEmployee’s ability. During ExecutiveEmployee’s employment, Executive Employee shall devote all of ExecutiveEmployee’s business time and energies to the business and affairs of the Company. Notwithstanding the foregoing, nothing herein shall preclude Executive Employee from (i) performing services for such other companies as the Company may designate or permit; (ii) serving, with the prior written consent of the Board, which consent shall not be unreasonably withheld, serving as a member of the boards of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of non-competing businesses or charitable, educational or civic organizations; (iii) engaging in charitable activities and community affairs; and (iv) managing ExecutiveEmployee’s personal investments and affairs; provided, however, that the activities set out in clauses (i), (ii), (iii) and (iv) shall be limited by Executive Employee so as not to materially interfere, individually or in the aggregate, with the performance of ExecutiveEmployee’s duties and responsibilities hereunder.

The Executive shall have such duties and responsibilities as are reasonably determined by the Board of Directors and are consistent with the duties customarily performed by a Chief Operating Development Officer of a similarly situated company in the United States. Executive accepts such employment upon the terms and conditions set forth herein, and agrees to perform such duties and discharge such responsibilities to the best of Executive’s ability. During Executive’s employment, Executive shall devote all of Executive’s business time and energies to the business and affairs of Company. Notwithstanding the foregoing, nothing herein shall preclude Executive from (i) performing services for such other companies as Company may designate or permit; (ii) serving, with the prior written consent of the Board, which consent shall not be unreasonably withheld, as a member of the boards of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of non-competing businesses or charitable, educational or civic organizations; (iii) engaging in charitable activities and community affairs; and (iv) managing Executive’s 's personal investments and affairs; provided, however, that the activities set out in clauses (i), (ii), (iii) and (iv) shall be limited by Executive so as not to materially interfere, individually or in the aggregate, with the performance of Executive’s 's duties and responsibilities hereunder.

Roles and Duties. Subject Effective as of the Commencement Date and subject to the terms and conditions of this AgreementAgreement and commencing on the Commencement Date, Company shall employ Executive as its President and Chief Operating Officer Officer, reporting to Company’s Chief Executive Officer (“CEO”). The Executive shall have such duties and responsibilities as are reasonably determined by the Board of Directors and are consistent with the duties customarily performed by a Chief Operating Officer of a similarly situated company in the United States. Executive accepts such employment upon the terms and conditions set forth herein, and agrees to perform such duties and discharge such responsibilities to the best of Executive’s abilityability the duties normally associated with such position and as reasonably determined by the CEO or the Company’s Board of Directors (the “Board”) in good faith. During Executive’s employment, Executive shall devote all of Executive’s business time and energies to the business and affairs of Company. Notwithstanding the foregoing, provided that nothing herein contained in this Section 1 shall preclude Executive from (i) performing services for such other companies as Company may designate prevent or permit; (ii) serving, with the prior written consent of the Board, which consent shall not be unreasonably withheld, as a member of the boards of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of non-competing businesses or charitable, educational or civic organizations; (iii) engaging in charitable activities and community affairs; and (iv) managing limit Executive’s right to manage Executive’s personal investments and affairs; providedon Executive’s own personal time, however, that including the activities set out in clauses (i), (ii), (iii) and (iv) shall be limited by Executive so as not right to materially interfere, individually or make passive investments in the aggregatesecurities of: (a) any entity which Executive does not control, directly or indirectly, and which does not compete with Company, or (b) any publicly held entity so long as Executive’s aggregate direct and indirect interest does not exceed two percent (2%) of the issued and outstanding securities of any class of securities of such publicly held entity. Executive shall not engage in other non-Company related business activities of any nature whatsoever (including board memberships) without Company’s prior written consent, except that Executive may be involved in civic and charitable activities so long as such activities do not interfere with Executive’s performance of Executive’s duties hereunder (including Executive’s full devotion of business time and responsibilities hereunderenergies to the business and affairs of Company, as described above).

Notwithstanding the foregoing, nothing herein shall preclude Executive from (i) performing services for such other companies as the Company may designate or permit; (ii) serving, with the prior written consent of the Board, which consent shall not be unreasonably withheld, as a member of the boards of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of non-competing businesses or charitable, educational or civic organizations; (iii) engaging in charitable activities and community affairs; and (iv) managing Executive’s personal investments and affairs; provided, however, that the activities set out in clauses (i), (ii), (iii) and (iv) shall be limited by Executive so as not to materially interfere, individually or in the aggregate, with the performance of Executive’s duties and responsibilities hereunder.

The Executive Employee shall have such duties and responsibilities as are reasonably determined by the Board of Directors and are consistent with the duties customarily performed by a Chief Operating Officer an executive of a similarly situated company in the United StatesStates with a similar position. Executive Employee accepts such employment upon the terms and conditions set forth herein, and agrees to perform such duties and discharge such responsibilities to the best of ExecutiveEmployee’s ability. During ExecutiveEmployee’s employment, Executive Employee shall devote all of ExecutiveEmployee’s business time and energies to the business and affairs of the Company. Notwithstanding the foregoing, nothing herein shall preclude Executive Employee from (i) performing services for such other companies as the Company may designate or permit; (ii) serving, with the prior written consent of the Board, which consent shall not be unreasonably withheld, serving as a member of the boards of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of non-competing businesses or charitable, educational or civic organizations; (iii) engaging in charitable activities and community affairs; and (iv) managing ExecutiveEmployee’s personal investments and affairs; provided, however, that the activities set out in clauses (i), (ii), (iii) and (iv) shall be limited by Executive Employee so as not to materially interfere, individually or in the aggregate, with the performance of ExecutiveEmployee’s duties and responsibilities hereunder.

During ExecutiveEmployee’s employment, Executive Employee shall devote all of ExecutiveEmployee’s business time and energies to the business and affairs of the Company. Notwithstanding the foregoing, nothing herein shall preclude Executive Employee from (i) performing services for such other companies as the Company may designate or permit; (ii) serving, with the prior written consent of the Board, which consent shall not be unreasonably withheld, serving as a member of the boards of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of non-competing businesses or charitable, educational or civic organizations; (iii) engaging in charitable activities and community affairs; and (iv) managing ExecutiveEmployee’s personal investments and affairs; provided, however, that the activities set out in clauses (i), (ii), (iii) and (iv) shall be limited by Executive Employee so as not to materially interfere, individually or in the aggregate, with the performance of ExecutiveEmployee’s duties and responsibilities hereunder.

Subject to the terms and conditions of this Agreement, the Company shall continue to employ Executive Employee as its Chief Operating Legal Officer and General Counsel and Vice President – Corporate Development, reporting to the Company’s Chief Executive Officer (“CEO”). The Executive Employee shall have such duties and responsibilities as are reasonably determined by the Board of Directors CEO, and are consistent with the duties customarily performed by a Chief Operating Officer of Employee’s position in a similarly situated company in the United States. Executive Employee accepts such continued employment upon the terms and conditions set forth herein, and agrees to perform such duties and discharge such responsibilities to the best of ExecutiveEmployee’s ability. During ExecutiveEmployee’s employment, Executive Employee shall devote all of ExecutiveEmployee’s business time and energies to the business and affairs of the Company. Notwithstanding the foregoing, nothing herein shall preclude Executive from Employee from: (i) performing services for such other companies as the Company may designate or permit; (ii) serving, with the prior written consent of the Board, which consent shall not be unreasonably withheld, as a member of the boards of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of non-competing businesses or charitable, educational or civic organizations; (iii) engaging in charitable activities and community affairs; and (iv) managing ExecutiveEmployee’s personal investments and affairs; provided, however, that the activities set out in clauses (i), (ii), (iii) and (iv) shall be limited by Executive Employee so as not to materially interfere, individually or in the aggregate, with the performance of ExecutiveEmployee’s duties and responsibilities hereunder.

Executive accepts such employment upon the terms and conditions set forth hereinin this Agreement, and agrees to perform such duties and discharge such responsibilities to the best of Executive’s ability. During Executive’s employment, Executive shall devote all of Executive’s business time and energies to the business and affairs of the Company. Notwithstanding the foregoing, nothing herein Nothing in this Agreement shall preclude Executive from (i) performing services for such other companies as the Company may designate or permit; (ii) serving, with the prior written consent of the Board, which consent shall not be unreasonably withheld, as a member of the boards of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of non-non- competing businesses or charitable, educational or civic organizations; (iii) engaging in charitable activities and community affairs; and (iv) managing Executive’s personal investments and affairs; provided, however, that the activities set out in clauses (i), (ii), (iii) and (iv) shall be limited by Executive so as not to materially interfere, individually or in the aggregate, with the performance of Executive’s duties and responsibilities hereunderto the Company.
