SAAS SERVICES TERMINATION. Access Terms for SaaS Services shall automatically renew for successive annual Access Terms unless either party provides notice to the other at least sixty (60) days prior to the expiration of the then-current Access Term of its decision not to renew those SaaS Services. To the extent Reseller’s relationship with an End User terminates during any existing Access Term for that End User, Reseller remains liable for any payments remaining during that End User’s then-current Access Term; provided, Verint shall cooperate with Reseller and End User to transition that End User to another Verint authorised reseller, or to Verint in the event Verint, in its sole discretion, offers that End User, and the End User accepts, a direct credit approved account.
