Salaries, Wages and Related Costs. Salaries, wages and related costs include everything constituting the employees' total compensation, as well as the cost to Paltar of holiday, vacation, sickness, disability benefits, living and housing allowances, travel time, bonuses, and other customary allowances applicable to the salaries and wages chargeable hereunder, as well as the costs to Paltar for employee benefits, including but not limited to employee group life insurance, group medical insurance, hospitalization, retirement, severance payments required by the laws or regulations of the Country of Operations. Expenditures or contributions made pursuant to assessments imposed by governmental authority for payments with respect to or on account of employees described in clause 2.2.1 and clause 2.2.2 shall be chargeable to the Operating Account. 2.2.1 The salaries, wages and related costs of employees of Paltar and its Affiliates temporarily or permanently assigned in the Country of Operations and directly engaged in Operations shall be chargeable to the Operating Account; 2.2.2 The salaries, wages and related costs of employees of Paltar and its Affiliates temporarily or permanently assigned outside the Country of Operations directly engaged in Operations and not otherwise covered in clause 2.7.2 of this Accounting Procedure shall be chargeable to the Operating Account; 2.2.3 Costs for salaries, wages and related costs may be charged to the Operating Account on an actual basis or at a rate based upon the average cost in accordance with Paltar's usual practice. Salaries, Wages and Related Costs. Salaries2.2.1 Costs related to the employees of Operator and its Affiliates in the Country of Operations directly engaged in Joint Operations whether temporarily or permanently assigned, wages as more particularly set out below. For the avoidance of doubt, costs related to any such employees shall not be charged to the Joint Account to the extent they relate to activities of the Operator or its Affiliates carried out other than in pursuance of the duties of the Operator under the Agreement (e.g. where the Operator or its Affiliate are acting as contractor for the Parties in relation to drilling operations). 2.2.2 Salaries and related costs include wages, including everything constituting the employees' total compensation. To the extent not included in salaries and wages, as well as the Joint Account shall also be charged with the cost to Paltar Operator of holiday, vacation, sickness, disability benefits, living and housing allowances, travel time, bonuses, and other customary allowances applicable to the salaries and wages chargeable hereunder, as well as the costs to Paltar Operator for employee benefits, including but not limited to employee group life insurance, group medical insurance, hospitalization, retirement, severance and other benefit plans of a like nature applicable to labor costs of Operator. Operator's employees participating in Country of Operations benefit plans may be charged at a percentage rate to reflect payments required or accruals made by Operator applicable to such employees. Such accruals for Country of Operations benefit plans shall not be paid by Non-Operators, unless otherwise approved by the laws Operating Committee, until the same are due and payable to the employee, upon withdrawal of a Party pursuant to the Agreement, or regulations upon termination of the Country of Operations. In determining the above described average cost, expatriate and national employees' rates shall be calculated separately and reviewed at least annually;. 2.2.4 2.2.5 Reasonable expenses (including related travel costs) of those employees whose salaries and wages are chargeable to the Operating Joint Account under clauses Section 2.2.1 and 2.2.2 of this Section 2 II and for which expenses the employees are reimbursed under the usual practice of Paltar shall be chargeable Operator. 2.2.6 All personnel who are not engaged exclusively on the Joint Operations and are under the direct control of Operator or its Affiliates will maintain time sheets for the purpose of charging salary and related benefits to the Operating Joint Account; and 2.2.5 If employees . Time sheets will record time worked on the Joint Operations and all other operations whether such personnel are engaged in full time or part time on the Joint Operations and will show the time worked on the various projects and other activities in addition classifications of cost to the Operationsenable personnel costs to be shown separately for budget and cost control purposes. Indirect time such as annual holidays, the cost of such employees public holidays, sickness, staff training, general supervisory duties, general administration, and other like items shall be allocated both to Joint Operations and to other operations in the same ratio as direct time writing. 2.2.7 The amount to be charged to the Joint Account for each employee referred to in Section 2.2.1 shall be the proportion of Operator's or any of its Affiliates' actual cost of salaries and related benefits for each such person that the time worked by such person on an equitable basisthe Joint Operations including indirect time allocation bears to the total time worked by such person as shown on the time sheets, provided that payments in respect of retirement and severance and other like items shall be allocated equitably to the Joint Operations and other operations of Operator and its Affiliates which have benefited from the services of the staff involved.

Salaries, Wages and Related Costs. Salaries, wages and related costs include everything constituting the employees' total compensation, as well as the cost to Paltar of holiday, vacation, sickness, disability benefits, living and housing allowances, travel time, bonuses, and other customary allowances applicable to the salaries and wages chargeable hereunder, as well as the costs to Paltar for employee benefits, including but not limited to employee group life insurance, group medical insurance, hospitalization, retirement, severance payments required by the laws or regulations of the Country of Operations. Expenditures or contributions made pursuant to assessments imposed by governmental authority for payments with respect to or on account of employees described in clause 2.2.1 and clause 2.2.2 shall be chargeable to the Operating Account. 2.2.1 The salaries, wages and related costs of employees of Paltar and its Affiliates temporarily or permanently assigned in the Country of Operations and directly engaged in Operations shall be chargeable to the Operating Account; 2.2.2 The salaries, wages and related costs of employees of Paltar and its Affiliates temporarily or permanently assigned outside the Country of Operations directly engaged in Operations and not otherwise covered in clause 2.7.2 of this Accounting Procedure shall be chargeable to the Operating Account; 2.2.3 Costs for salaries, wages and related costs may be charged to the Operating Account on an actual basis or at a rate based upon the average cost in accordance with Paltar's usual practice. In determining the average cost, expatriate and national employees' rates shall be calculated separately and reviewed at least annually; 2.2.4 Reasonable expenses (including related travel costs) of those employees whose salaries and wages are chargeable to the Operating Account under clauses Clauses 2.2.1 and 2.2.2 of this Section 2 and for which expenses the employees are reimbursed under the usual practice of Paltar shall be chargeable to the Operating Account; and 2.2.5 If employees are engaged in other activities in addition to the Operations, the cost of such employees shall be allocated on an equitable basis.

Salaries, Wages and Related Costs. Salaries3.2.1 The employees of Contractor and its Affiliates in Georgia directly engaged in Petroleum Operations whether temporarily or permanently assigned. Time of such employees shall be documented by timesheets. 3.2.2 The employees of Contractor and its Affiliates outside Georgia directly engaged in Petroleum Operations whether temporarily or permanently assigned, wages and related costs include not otherwise covered in Section 3.7.2. To the extent not included in salaries and wages, as well as the Petroleum Operations Account shall also be charged with the cost to Paltar Contractor of holiday, vacation, sickness, disability benefits, living and housing allowances, travel time, bonuses, tax equalisation payments and other customary allowances applicable to the salaries and wages chargeable hereunder, as well as the costs to Paltar Contractor for employee benefits, including but not limited to employee group life insurance, group medical insurance, hospitalizationhospitalisation, retirement, severance payments required by the laws or regulations of the Country State of OperationsGeorgia, and other benefit plans of a like nature applicable to labour costs of Contractor. Contractor's employees participating in Georgian benefit plans may be charged at a percentage rate to reflect payments or accruals made by Contractor applicable to such employees. 3.2.4 Expenditures or contributions made pursuant to assessments imposed by governmental authority for payments with respect to thereto or on account of employees described such employees. 3.2.5 Salaries and wages charged in clause 2.2.1 accordance with Contractor's usual practice, when and clause 2.2.2 as paid or accrued, or on a basis of the Contractor's average cost per employee for each job category; and the rates to be charged shall be chargeable to reviewed at least annually.
