Sale and Purchase of Property. SELLER agrees to sell and convey to BUYER and BUYER agrees to purchase: (a) All of SELLER's right, title and interest in and to the Real Property, together with all right, title and interest, if any, of SELLER in and to any land lying in the beds of any streets, avenues, alleys or passages, open or proposed, bounding or abutting the Real Property, and drainage rights appurtenant to the Real Property, together with all right, title and interest, if any, of SELLER, in and to any easements, rights of way or passageways appurtenant to or benefiting the Real Property and free of all liens and encumbrances except the Permitted Exceptions, as that term is defined in Paragraph 4 hereof; (b) All articles of personal property of whatsoever nature or sort, if any, which are owned by SELLER and which, as of the date of this Agreement of Sale, are attached or appurtenant to or used in connection with or located in or upon the Real Property, and any additions thereto or replacements thereof which may be made between the date of this Agreement of Sale and the date of Closing hereunder (all of the foregoing being hereinafter collectively referred to as the "Personal Property"), which Personal Property shall be conveyed by SELLER to BUYER at Closing by a quitclaim bill of sale; anx SELLER's interest in the Real Property and the Personal Property are hereinafter sometimes referred to collectively as the "Property".
