Licenses, Permits and Orders. All approvals, authorizations, consents, licenses, orders and establishment numbers and other permits and similar items of all governmental agencies whether federal, state or local, owned, held or utilized by Seller;

Except as set forth in Section 3.6 of the Disclosure Schedule, (a) no licenses, approvals, consents, ratifications, waivers, notices, registrations, qualifications, designations, filings, franchises, authorizations, security clearances or other permits of, to, from or with, any Governmental Body (“Permits”), are held or required to be held (pursuant to applicable Legal Requirements or otherwise) by any Seller or any of their respective directors, officers, employees or independent contractors applicable to the Purchased Assets or the ownership, operation, use or maintenance thereof except for those the absence or violation of which could not reasonably be expected to have a Material Adverse Effect on the Purchased Assets and (b) to the Knowledge of the Sellers, no Permits are required to be held (pursuant to applicable Legal Requirements or otherwise) by the Buyer or any of its directors, officers, employees or independent contractors from or after the Closing applicable to the Purchased Assets or the ownership, operation, use or maintenance thereof except for those the absence or violation of which could not reasonably be expected to have a Material Adverse Effect on the Purchased Assets. Except as set forth in Section 3.6 of the Disclosure Schedule, none of the Sellers nor any of the Purchased Assets is subject to the provisions of any Order of any Governmental Body.

To the knowledge of PBS, all such qualifications, registrations, filings, approvals, authorizations, consents, licenses, orders and other permits of all governmental agencies, whether federal, state, or local, constitute the only approvals, authorizations, consents, licenses, orders and permits which PBS is required to own and operate its business.

Except as set forth in Section 3.7 of the Disclosure Schedule, none of the Seller, the Purchased Subsidiary or any of its Subsidiaries or any Assets of the Purchased Subsidiary or any of its Subsidiaries are subject to the provisions of any Order of any Governmental Body.

To Seller's knowledge, the Company and each Subsidiary has all material registrations, approvals, licenses and other permits (collectively, the "Permits") which are necessary for the operation of its business as now being conducted. To Seller's knowledge, neither the Company nor any Subsidiary is in material breach or operating in material violation of any such Permits or any condition to the grant or continued effectiveness thereto. To Seller's knowledge, such Permits will be in full force and effect immediately following the Effective Time.

The Company has all material registrations, approvals, licenses and other permits (collectively, the "Permits") which are necessary for the operation of its business as now being conducted, and all such Permits are listed in the Disclosure Schedule. The Company is not in breach or operating in violation of any such Permits, where such breach or violation would have an adverse effect on the Company.

(a) No Consents, regulatory approvals, registrations, privileges, exemptions, qualifications, quotas, certificates, filings, franchises, licenses, notices, security clearances, right or other permits are held or required to be held (pursuant to applicable Law or otherwise) by the Bank or any of its directors, officers, employees or independent contractors applicable to the Business or necessary for the lawful conduct of the Business , or the lawful ownership of the Assets of the Bank or the Business, or the operation of Business, in each case, in the Ordinary Course (collectively, “Permits”). The Permits are in full force and effect and there has occurred no Default under any Permit by the Bank, except as would not have a Material Adverse Effect on the Bank.
(b) None of the Bank or any Assets of the Bank are subject to the provisions of any Order of any Governmental Authority and there is no Proceeding pending by, nor has the Bank or any of its Subsidiaries received a written notice from, any Governmental Authority to modify, suspend, revoke, withdraw, terminate or otherwise limit any such Permit. Except as otherwise governed by applicable Law, all the Permits are renewable by their terms or in the Ordinary Course without the need to comply with any special qualification procedures or to pay any amounts other than routine filing fees. None of the Permits will be adversely affected by consummation of the transactions contemplated hereby and no other Permits are required to be held (pursuant to applicable Law or otherwise) by the Bank or any of its directors, officers, employees or independent contractors from or after the Closing applicable to the Assets of the Bank or the ownership, operation, use or maintenance thereof except for those the absence or violation of which would not have a Material Adverse Effect on the Bank.
Licenses, Permits and Orders. SCHEDULE "2" contains a list of all material qualifications, registrations, filings, approvals, authorizations, consents, licenses, orders or other permits of all governmental agencies, whether federal, state, or local, owned, held or utilized by Seller in the operation of the Assets. To the knowledge of Seller and Xxxxxxx, all such qualifications, registrations, filings, approvals, authorizations, consents, licenses, orders and other permits constitute the only approvals, authorizations, consents, licenses, orders and permits which are required by Seller to operate sell prepaid phone cards and utilize the Assets. Seller will cooperate with and assist Buyer with respect to transferring, acquiring or licensing all such qualifications, registrations, filings, approvals, authorizations, consents, licenses, orders or other permits necessary to utilize the Assets. Seller will also cooperate with Buyer for the purpose of securing the transfer of all such licenses, permits and orders which are transferable to Buyer.

Section 5.17 of the Disclosure Schedule contains a list of all material qualifications, registrations, filings, privileges, franchises, immunities, approvals, authorizations, consents, licenses, orders and other permits of all governmental agencies whether federal, state, or local, owned, held or utilized by each Company. Except as described in Section 5.17 of the Disclosure Schedule, each Company has all material qualifications, registrations, filings, privileges, franchises, immunities, approvals, authorizations, consents, licenses, orders and other permits necessary to conduct its business as currently conducted. All such material permits, licenses, orders and approvals are in full force and effect and, as of the date of this Agreement, no suspension or cancellation of any of them is pending or, to Sellers' knowledge, threatened, and no basis for suspension or cancellation exists.
