Sales Fee. Seller and Buyer warrant and represent each to the other that Xxxxxxxx Real Estate & Auction Company, Inc. and Xxxxx & Associates, Inc. is the only broker involved with the sale of the Property and that the commission shall be paid by the Seller. In the event that any other broker or other parties are entitled to commission, fee or other compensation relating to the sale of the Property as a result of Buyer's dealings with such broker or other party, Buyer shall pay the same and hereby agrees to indemnify and hold Seller and Auction Company harmless from the payment of any such commission, fee or compensation which obligation of Buyer shall survive closing. 21.
Sales Fee. (a) A Sales Fee shall be payable with respect to each Fee Period by LIFT to the Servicer, such payment to be made not later than the Payment Date immediately following the end of each such Fee Period.
(b) The "SALES FEE" in respect of any Fee Period shall equal one percent (1.0%) of the Aggregate Gross Proceeds in respect of Dispositions of Aircraft Assets during such Fee Period. "AGGREGATE GROSS PROCEEDS" for any Fee Period means the sum of the Gross Proceeds for each Disposition of an Aircraft Asset that is an Aircraft Asset during such Fee Period. "DISPOSITION" means, with respect to any Aircraft Asset, the sale (including pursuant to the exercise of a purchase option), total loss or other event or circumstances under which such Aircraft Asset ceases to be an Aircraft Asset. "GROSS PROCEEDS" shall be an amount equal to the gross proceeds (including the fair market value of any non-cash consideration) received by any Person within the LIFT Group in respect of any Disposition of an Aircraft Asset.
Sales Fee. Any commission due Seller’s Representatives shall be paid by the Seller pursuant to a separate agreement. If any other broker or other third party is or claims to be entitled to any commission, fee or other compensation relating to the sale of the Property as a result of Buyer's dealings with such broker or other third party, Buyer shall indemnify and hold harmless Seller and Seller’s Representatives from and against the payment of any such commission, fee or compensation. This obligation of Buyer shall survive closing. Buyer understands and acknowledges that the 2% Buyer’s Premium will be paid to the Seller as part of the Purchase Price.
Sales Fee. (a) A Sales Fee shall be payable with respect to each Fee Period by AFT to the Servicer, such payment to be made not later than the Payment Date immediately following the end of each such Fee Period.
Sales Fee. (a) A Sales Fee shall be payable with respect to each Fee Period by Genesis to the Servicer, such payment to be made not later than the Payment Date immediately following the end of each such Fee Period.
Sales Fee. In consideration of the Manager providing the services described in Section 3.3(g), the Owner shall pay a Sales Fee to the Manager for each sale of an Owner Container unless such sale is (i) to the Manager or an Affiliate of the Manager (unless such sale is, in the determination of the Owner, necessary to facilitate the ultimate disposition of such Container), or (ii) an Owner Affiliate Container Sale. So long as no Event of Manager Default hereunder has occurred and so long as the Manager has not been terminated pursuant to the terms of this Agreement, the Manager shall be entitled to withhold such Sales Fee from amounts required to be deposited into the Owner Bank Account, such withholding to be accomplished as described in Section 6.2; otherwise the Owner shall pay the Sales Fee to the Manager within ten (10) days following receipt by the Owner of an invoice for such Sales Fee from the Manager. No Sales Fee shall be payable in connection with any Owner Container that is subject to a Casualty Loss.
Sales Fee. Upon a sale of a Property or any part of a Property, the Manager will be entitled to a fee equal to:
(a) 1% of the gross sale price for a Property or part of a Property; or
(b) 0.5% of the gross sale price for a Property or part of a Property if an external agent is used to sell that Property, in each case, plus GST, payable to the Manager on the Settlement Date.
Sales Fee. The Sales Unit will be specified in each applicable Purchase Order. HPA will provide Customer with a quotation which shall include handling charges and administration fees. All prices are exclusive of VAT, other applicable taxes, customs duties and bank fees, which shall also be borne by Customer, unless specifically indicated otherwise.
Sales Fee. Unless the Company, in its reasonable judgement, determines that a third party would be better qualified to act as the sales broker on behalf of the Venture, ConAm or an affiliate shall have the right to act as the sales broker for the Venture in connection with any of the Redevelopment Projects. If ConAm is acting as the sales broker for the transaction, ConAm shall be paid a sales brokerage fee to ConAm in an amount not to exceed one and three quarters percent (1.75%) of the gross sales price of the Redevelopment Project. In the event that ConAm or an affiliate acts as the sales broker for the Venture, any co-brokerage fee or similar cost will be paid for exclusively by ConAm.
