Sangoma's Obligations. Sangoma shall use commercially reasonable efforts as defined in the Agreement (1) to process orders for the Products and Services obtained by or through Reseller; (2) to comply with all federal, state, or local laws, rules, and regulations applicable to its performance under the Agreement; and (3) to perform its obligations under the Agreement in a professional manner as it relates to interactions with Resellers. Sangoma further represents and warrants that Sangoma shall not solicit and/or attempt to pursue contractual agreements with Resellers without the prior written permission of Wholesaler.
