Satisfaction of Purchase Agreement Conditions Precedent; Assignments of Purchase Agreement Rights. All conditions precedent set forth in the Purchase Agreements shall have been fully satisfied except to the extent (i) communicated in writing to the Administrative Agent and (ii) acceptable to the Administrative Agent in its sole discretion and Administrative Agent shall have received evidence of same and the Administrative Agent shall have received copies of the Purchase Agreement Assignments in form and substance acceptable to the Administrative Agent.

  • Conditions Precedent to Obligation of Purchaser The obligation of Purchaser to consummate the transaction hereunder shall be subject to the fulfillment on or before the Closing Date of all of the following conditions, any or all of which may be waived by Purchaser in its sole discretion:
