Common use of Schedule Coordination Clause in Contracts

Schedule Coordination. If, as a result of this Agreement, PacifiCorp is deemed by an RTO to be financially responsible for Seller’s performance under the Generation Interconnection Agreement, due to Seller’s lack of a “scheduling coordinator” or other RTO recognized standing or otherwise, then (a) Seller shall use commercially reasonable and diligent efforts to acquire such RTO recognized standing (or shall contract with a third party who has such RTO recognized standing) such that PacifiCorp is no longer responsible for Seller’s performance under the Generation Interconnection Agreement, and (b) Seller shall defend, indemnify and hold PacifiCorp harmless against any liability arising due to Seller’s performance or failure to perform under the Generation Interconnection Agreement.
