Scheduled Downtime. Upland shall notify Customer and its Users with whom Xxxxxx has communicated at least 72 hours in advance of all scheduled downtime of the Application in whole or in part (“Scheduled Downtime”) (a) not be scheduled between the hours of 8 a.m. and 9 p.m., Eastern Time, Monday-Friday (unless otherwise agreed by the parties in a signed writing), and (b) occur more frequently than 15 hours per calendar month.
