Schedules of Receivables. The information set forth on Schedule I, and Schedule II of the Sale Agreement is true and correct in all material respects as of the opening of business on the Cut-off Date and no selection procedures believed by the applicable Seller to be adverse to the interests of the Purchaser were utilized in selecting the Receivables. The computer tape regarding the Receivables made available to Purchaser and its assigns is true and correct in all material respects.

The items to be provided under this Section are to be prepared and delivered to the Secured Party from time to time solely for its convenience in maintaining records of the Collateral and the Debtor’s failure to give any of such items to the Secured Party shall not affect, terminate, modify or otherwise limit the Secured Party’s security interest granted herein.
