Common use of SCOPE OF FRAMEWORK AGREEMENT Clause in Contracts

SCOPE OF FRAMEWORK AGREEMENT. Without prejudice to Clause 45 (Third Party Rights), this Framework Agreement governs the relationship between the Authority and the Supplier in respect of the provision of the Goods and Services by the Supplier. The Supplier acknowledges and agrees that: there is no obligation whatsoever on the Authority or on any Other Contracting Authority to invite or select the Supplier to provide any Goods and Services and/or to purchase any Goods and Services under this Framework Agreement and in entering into this Framework Agreement no form of exclusivity has been conferred on the Supplier nor volume or value guarantee granted by the Authority and/or Other Contracting Authorities in relation to the provision of the Goods and Services by the Supplier and that the Authority and Other Contracting Authorities are at all times entitled to enter into other contracts and agreements with other suppliers for the provision of any or all goods and services which are the same as or similar to the Goods and Services. In the event that any Other Contracting Authority makes an approach to the Supplier with a request for the supply of Equivalent Goods and Services, the Supplier shall promptly and in any event within five (5) Working Days of the request by the Other Contracting Authority, and before any supply of Equivalent Goods and Services is made, inform such Other Contracting Authority of the existence of this Framework and the Other Contracting Authority’s ability to award Call Off Agreements for Goods and Services pursuant to this Framework Agreement. CALL OFF PROCEDURE If the Authority or any Other Contracting Authority decides to source any of the Goods and Services through this Framework Agreement, then it shall be entitled at any time in its absolute and sole discretion during the Framework Period to award Call Off Agreements for the Goods and Services from the Supplier by following Framework Schedule 5 (Call Off Procedure). The Supplier shall comply with the relevant provisions in Framework Schedule 5 (Call Off Procedure).

The Supplier acknowledges and agrees that: there is no obligation whatsoever on the Authority CCS or on any Other Contracting Authority Buyer to invite or select the Supplier to provide any Goods and Services and/or to purchase any Goods and Services under this Framework Agreement and in entering into this Framework Agreement no form of exclusivity has been conferred on the Supplier nor volume or value guarantee granted by the Authority CCS and/or Other Contracting Authorities Buyers in relation to the provision of the Goods and Services by the Supplier and that the Authority CCS and Other Contracting Authorities Buyers are at all times entitled to enter into other contracts and agreements with other suppliers for the provision of any or all goods and services Services which are the same as or similar to the Goods and Services. In the event that any Other Contracting Authority Body makes an approach to the Supplier with a request for the supply of Equivalent Goods and Services, the Supplier shall promptly and in any event within five (5) Working Days of the request by the Other Contracting AuthorityBody, and before any supply of Equivalent Goods and Services is made, inform such Other Contracting Authority Body of the existence of this Framework and the Other Contracting AuthorityBody’s ability to award Call Call-Off Agreements Contracts for Goods and Services pursuant to this Framework Agreement. CALL OFF PROCEDURE If the Authority or any Other Contracting Authority Body decides to source any of the Goods and Services through this Framework Agreement, then it shall be entitled at any time in its absolute and sole discretion during the Framework Period to award a Call Off Agreements Contract for the Goods and Services from the Supplier by following Framework Schedule 5 (Call Off Procedure). The Supplier shall comply with the relevant provisions in Framework Schedule 5 (Call Off Procedure). For the avoidance of doubt, there is no direct award at Call Off level under this Framework and all Call Off Contracts will be entered into following a Further Competition procedure. The Authority may be acting as agent for Central Government Departments for the Further Competition procedure.

The Supplier acknowledges and agrees that: there is no obligation whatsoever on the Authority or on any Other Contracting Authority Body to invite or select the Supplier to provide any Goods and Services and/or to purchase any Goods and Services under this Framework Agreement and in entering into this Framework Agreement no form of exclusivity has been conferred on the Supplier nor volume or value guarantee granted by the Authority and/or Other Contracting Authorities Bodies in relation to the provision of the Goods and Services by the Supplier and that the Authority and Other Contracting Authorities Bodies are at all times entitled to enter into other contracts and agreements with other suppliers for the provision of any or all goods and and/or services which are the same as or similar to the Goods and Services.
