Background to the services. 2.1 Civil Service Employee Policy (CS Employee Policy) is a central HR policy function which caters to the Civil Service. It is responsible for job evaluation policy across the UK Civil Service which includes oversight for two job evaluation methodologies.  Job Evaluation of Senior Posts (JESP) – SCS Maintenance of the JESP process and guidance, including provision of training to departments. JESP is used by all departments and agencies with SCS civil servants.  Job Evaluation & Grading Support (JEGS) – grades below the SCS Maintenance of JEGS guidance and providing policy support to departments. JEGS is used by most departments and agencies with civil servants below the SCS. 2.2 The policy guidance issued by CS Employee Policy requires all JESP and JEGS evaluations to be undertaken by evaluators who have been trained in the relevant methodology. 2.3 There is also a requirement that the framework agreement covers the provision of job evaluation interview training related to both JEGS and JESP.

Background to the services. (a) The Client is developing the Bangladesh Solar Power JV– Noakhali Project (the Project) which is located in Sullukia, Noakhali in Bangladesh (the Country). A summary of the Project is provided below in Section 2 (The Project). A locality map for the Project site is included in Annex 1. (b) The Client requires provision of appropriate engineering services to ensure that the Project is planned, designed, constructed and commissioned in accordance with the Client’s requirements and that all necessary steps are undertaken for the successful implementation and operation of the Project. (c) A list of previous relevant studies is included in Annex 2. The studies will be made available to the Consultant. The present status of development of the Project is as follows: (i) The 40-acre land parcel for the Project has already been identified by the Client. The Client has received a letter of commitment from the landowner to provide the land parcel in the form of a lease for developing a grid connected solar power project. (ii) Preliminary legal due diligence on the land documents has been performed by Lyceum Law & Associates (refer Annex 2). (iii) A feasibility study has been prepared by Sgurr Energy Ltd. (India), covering the key technical, environmental and social aspects (refer Annex 2). The key findings of the feasibility study are summarized in Annex 3. (iv) The Power Purchase Agreement (PPA) with the Bangladesh Power Development Board (BPDB) is intended to be finalized in the same time-frame as the finalization of the technical designs and specifications and award of the necessary contracts for construction of the Project. (v) The Client has recruited a separate consultant to prepare an Environmental and Social Impact Assessment and Management Plan (ESIA/ESMP), the outputs of which will be provided to the Consultant when they become available. (d) The Client wishes to procure the services of a reputable consulting firm, or joint venture of such firms (the Consultant) to provide the services described in Section 3 below (the Services).

  • Access to the Services ID’s for access to Vendor Core Research and Analyst Inquiry may not be shared. Access to the Services is restricted to the number of named individuals (each a “Licensed User”) as identified in the Customer Purchase Order.

  • B1 The Services The Contractor shall supply the Services during the Contract Period in accordance with the Authority’s requirements as set out in the Specification and the provisions of the Contract in consideration of the payment of the Contract Price. The Authority may inspect and examine the manner in which the Contractor supplies the Services at the Premises during normal business hours on reasonable notice.

  • Changes to the Services We provide Services in a multi- user environment and must therefore reserve the right to modify and discontinue Services. We may modify a Service at any time without degrading its functionality or security features For current subscriptions, we may degrade the functionality of a Service or discontinue a Service only in case of (i) legal requirements; (ii) changes in the Services imposed by Siemens’ subcontractors; (iii) the termination of our relationship with a provider of software and/or services used by us which are material for the provision of such Service; (iv) lack of customer acceptance; and/or (v) security risks. We will notify you of any material degradation of functionality or the discontinuation of a Service and the effective date at least 80 days prior to such change, and you may terminate the modified Service 30 days prior to the change effective date. In the event of such termination or discontinuation of a Service, we will refund any prepaid amounts for the applicable Service on a pro-rata basis for the remaining Subscription Term. We do not maintain prior versions of a Service.

  • Use of the Services 1.1 We will make the Oracle services listed in Your order (the “Services”) available to You pursuant to this Agreement and Your order. Except as otherwise stated in this Agreement or Your order, You have the non- exclusive, worldwide, limited right to use the Services during the period defined in Your order, unless earlier terminated in accordance with this Agreement or Your order (the “Services Period”), solely for Your internal business operations. You may allow Your Users (as defined below) to use the Services for this purpose, and You are responsible for their compliance with this Agreement and Your order. 1.2 The Service Specifications describe and govern the Services. During the Services Period, we may update the Services and Service Specifications (with the exception of the Data Processing Agreement as described below) to reflect changes in, among other things, laws, regulations, rules, technology, industry practices, patterns of system use, and availability of Third Party Content (as defined below). Oracle updates to the Services or Service Specifications will not materially reduce the level of performance, functionality, security or availability of the Services during the Services Period of Your order. 1.3 You may not, and may not cause or permit others to: (a) use the Services to harass any person; cause damage or injury to any person or property; publish any material that is false, defamatory, harassing or obscene; violate privacy rights; promote bigotry, racism, hatred or harm; send unsolicited bulk e-mail, junk mail, spam or chain letters; infringe property rights; or otherwise violate applicable laws, ordinances or regulations; (b) perform or disclose any benchmarking or availability testing of the Services; (c) perform or disclose any performance or vulnerability testing of the Services without Oracle’s prior written approval, or perform or disclose network discovery, port and service identification, vulnerability scanning, password cracking or remote access testing of the Services; or (d) use the Services to perform cyber currency or crypto currency mining ((a) through (d) collectively, the “Acceptable Use Policy”). In addition to other rights that we have in this Agreement and Your order, we have the right to take remedial action if the Acceptable Use Policy is violated, and such remedial action may include removing or disabling access to material that violates the policy.

  • Performance of the Services In addition to the Common Articles, it is specified that:

  • Scope of the Services UNOPS intends to retain the Contractor for the implementation of the Services, and the Contractor intends to provide the Services. The Contractor has represented to UNOPS that it has the appropriate experience, expertise, licences, and resources to undertake the Services and has agreed to undertake the Services in accordance with the Contract. In reliance on the Contractor’s representations UNOPS has entered into the Contract. The Contract sets out the terms and conditions upon which the Contractor will undertake the Services.

  • Description of the Services 1.1 The scope of the service to be rendered is described more fully in the Annexures and Schedules referred to below: ❑ Annexure A – Scope / Specification ❑ Annexure C – Pricing Schedule The Deliverables, due for completion by and governed by this Schedule 1. In the event that the Service Provider fails to meet the delivery dates as agreed, the following penalties will be imposed:

  • Support Services Rehabilitation, counselling and EAP’s. Support is strictly non- punitive, and can be accessed at anytime (self-identification of the need for help is strongly encouraged).

  • TAX SUPPORT SERVICES BNY Mellon shall provide the following tax support services for each Fund:  Provide various data and reports as agreed upon in the SLDs to support TRP’s tax reporting and tax filing obligations, including: · Wash sales reporting; · QDI reporting; · DRD reporting; · PFIC analysis; · Straddle analysis; · Paydown adjustments; · Equalization debit adjustments · Tax compliance under §851, §817(h); · Foreign bond sale analysis (§988); · Troubled debt analysis; · Estimation of income for excise tax purposes; · Swap analysis; · Inflation adjustments; · §1256 adjustments; · Market discount analysis; OID adjustments; · CPDI analysis; · Shareholder tax reporting information (e.g. FTC, UGG income, foreign source income by country, exempt income by state);  Provide data, and reports based on such data, maintained by BNY Mellon on its fund accounting platform as reasonably requested by TRP to support TRP’s obligations to comply with requests from tax authorities and TRP’s tax reporting and tax filing obligations.  Assist with other tax-related data needs as mutually agreed upon in writing from time-to-time.

  • Access to the Site 22.1 The Contractor shall allow the Engineer and any person authorized by the Engineer access to the Site, to any place where work in connection with the Contract is being carried out or is intended to be carried out and to any place where materials or plant are being manufactured / fabricated / assembled for the works.
