Common use of SCOPE OF FRAMEWORK AGREEMENT Clause in Contracts

SCOPE OF FRAMEWORK AGREEMENT. This Framework Agreement governs the relationship between the Authority and the Provider in respect of the provision of the Services by the Provider to the Authority and to Other Contracting Bodies. The Authority and (subject to the following provisions of this Clause 3.2) Other Contracting Bodies may at their absolute discretion and from time to time order Services from the Provider in accordance with the Ordering Procedure during the Term. The Parties acknowledge and agree that the Other Contracting Bodies have the right to order Services pursuant to this Framework Agreement provided that they comply at all times with all Laws (including, but not limited to, the Regulations and the Guidance) and the Ordering Procedure. If there is a conflict between Clause 6 and the Regulations and the Guidance, the Other Contracting Body shall comply with the Regulations and the Guidance. The Provider acknowledges that there is no obligation whatsoever for any Contracting Body to purchase any Services from the Provider during the Term. No undertaking or any form of statement, promise, representation or obligation shall be deemed to have been made by the Authority and any Other Contracting Body in respect of the total quantities or values of the Services to be ordered by them pursuant to this Framework Agreement and the Provider acknowledges and agrees that it has not entered into this Framework Agreement on the basis of any such undertaking, statement, promise or representation.

The Authority and (subject to the following provisions of this Clause 3.24.2) Other Contracting Bodies may at their absolute discretion and from time to time order Services from the Provider Contractor in accordance with the Ordering Procedure during the Term. The Parties acknowledge and agree that the Other Contracting Bodies have the right to order Services pursuant to this Framework Agreement provided that they comply at all times with all Laws (including, but not limited to, the Regulations and the Guidance) and the Ordering Procedure. If there is a conflict between Clause 6 7 and the Regulations and the Guidance, the Other Contracting Body shall comply with the Regulations and the Guidance. The Provider Contractor acknowledges that there is no obligation whatsoever for the Authority and for any Other Contracting Body to purchase any Services from the Provider Contractor during the Term. The Parties acknowledge and agree that the Other Contracting Bodies have the right to order Goods and Services pursuant to this Framework Agreement provided that they comply at all times with all Laws (including, but not limited to, the Regulations and the Guidance) and the Ordering Procedure. The Service Provider acknowledges that there is no obligation whatsoever for on the Authority or on any Other Contracting Body to purchase any Services from the Service Provider during the Term. No undertaking or any form of statement, promise, representation or obligation shall be deemed to have been made by the Authority and any Other Contracting Body in respect of the total quantities or values of the Services to be ordered by them pursuant to this Framework Agreement and the Service Provider acknowledges and agrees that it has not entered into this Framework Agreement on the basis of any such undertaking, statement, promise or representation.
