Seed Round. Amount: A minimum of $250,000 and up to $350,000 (the “Seed Round”) Security: Convertible Notes, convertible at $.12/share of the Company’s common stock, equal to approximately $1 million pre-money fully-diluted valuation. The Convertible Notes shall bear 6% interest, with a one-year term, and will automatically convert upon closing of the first $1,000,000 of the Series A Round (below).   • Floor Load Tenant shall not place a load upon any floor of the Premises that exceeds 50 pounds per square foot “live load”. Landlord reserves the right to reasonably designate the position of all Equipment which Tenant wishes to place within the Premises, and to place limitations on the weight thereof.
