Seller and Purchaser Cooperation. Seller agrees, at no cost or expense to Seller, to cooperate with Purchaser and Converge to the extent reasonably necessary for Converge to obtain the Land Use Approvals, and in connection therewith, Seller agrees that, promptly after receipt of a request from Purchaser, Seller shall execute and deliver to Purchaser such applications, proffers and other documents as may be reasonably requested by Purchaser and/or Converge and/or by the appropriate County governmental authorities. Purchaser shall endeavor to keep Seller reasonably informed about the status of the Land Use Application and the Land Use Approvals (to the extent that Purchaser is kept reasonably informed by Converge) and to timely provide Seller with interim drafts of the Land Use Application and any other documents which may require Seller’s approval pursuant to this Agreement (to the extent the same are provided to Purchaser by Converge).

In addition, if requested and coordinated by Seller, prior to submitting the Land Use Application to the County, Purchaser shall attend a meeting to present the Land Use Application to the City of Falls Church (together with any applicable governing bodies or governing officials which may elect to be present at such meeting).
