Seller Approvals. Seller must have received all necessary corporate and shareholder approvals for Seller’s entering into the Transactions, including approval from Innovo’s shareholders (“Innovo Shareholder Approval”), if required. Seller and Innovo shall use their Best Efforts to obtain said approval, if required, by May 9, 2006.

Seller Approvals. Subject to the provisions of this Section, this Agreement and the sale of the Properties are wholly contingent upon Seller being able to obtain approval, from Seller’s applicable committees or boards. Seller shall notify Purchaser within thirty (30) days after the date of this Agreement of the decision of such committees or boards. If the decision is “yes” this Agreement shall continue in full force and effect. If the decision is “no”, this Agreement shall terminate and neither party shall have any further obligations whatsoever under the terms hereof; provided in the event of such termination Wal-Mart shall pay to Xxxxxx the amount of $[*****] as independent consideration for Wal-Mart’s termination rights pursuant to this Section.
Seller Approvals. The Seller, at its expense, shall use commercially reasonable efforts to obtain all Approvals from members, Governmental or Regulatory Authorities, any third party or under any of the Contracts or other agreements of the Seller as may be required in connection with the Acquisition so as to preserve all rights of and benefits to the Seller thereunder and the Buyer shall provide the Seller with such assistance and information as is reasonably required to obtain such Approvals. To the extent that the Purchased Assets may not be transferred to the Buyer hereunder without the Approval of another Person which Approval has not been obtained, this Agreement shall not constitute an agreement to transfer the same if an attempted transfer would constitute a breach thereof or be unlawful, and the Seller, at its expense, shall use its commercially reasonable efforts to obtain any such required Approval(s) as promptly as possible.
