Seller Approvals. SECTION 2.1(a) Seller Book-Entry Shares
Seller Approvals. Seller must have received all necessary corporate and shareholder approvals for Seller’s entering into the Transactions, including approval from Innovo’s shareholders (“Innovo Shareholder Approval”), if required. Seller and Innovo shall use their Best Efforts to obtain said approval, if required, by May 9, 2006.
Seller Approvals. Seller is approved (i) by the FHA as an FHA Title II non-supervised lender, (ii) by Xxxxxx Xxx as an issuer of Xxxxxx Mae I and II single family mortgage-backed securities, (iii) by Xxxxxx Xxx as a servicer, (iv) by Xxxxxxx Mac as a servicer and (v) by VA as a VA Approved Lender. Seller and each Subservicer (if any) servicing any Purchased Loans hereunder has all consents, licenses and approvals necessary to service the Purchased Loans.
Seller Approvals. (A) Seller shall at all times remain approved (i) by FHA as an FHA Title II non-supervised lender, (ii) by Xxxxxx Xxx as an issuer of Xxxxxx Mae I and II single family mortgage-backed securities, (iii) by Xxxxxx Xxx as a servicer, (iv) by Xxxxxxx Mac as a servicer and (v) by VA as a VA Approved Lender, and (B) Seller and each Subservicer (if any) servicing any Purchased Loans hereunder shall at all times have all consents, licenses and approvals necessary to service the Purchased Loans.
Seller Approvals. Subject to the provisions of this Section, this Agreement and the sale of the Properties are wholly contingent upon Seller being able to obtain approval, from Seller’s applicable committees or boards. Seller shall notify Purchaser within thirty (30) days after the date of this Agreement of the decision of such committees or boards. If the decision is “yes” this Agreement shall continue in full force and effect. If the decision is “no”, this Agreement shall terminate and neither party shall have any further obligations whatsoever under the terms hereof; provided in the event of such termination Wal-Mart shall pay to Xxxxxx the amount of $[*****] as independent consideration for Wal-Mart’s termination rights pursuant to this Section.

Seller Approvals. All Seller Approvals with respect to such Individual Portfolio shall have been obtained and be in full force and effect, and any conditions to the effectiveness thereof shall have been satisfied.
Seller Approvals. The Seller, at its expense, shall use commercially reasonable efforts to obtain all Approvals from stockholders, Governmental or Regulatory Authorities, any third party or under any of the Contracts or other agreements of the Seller as may be required in connection with the Acquisition so as to preserve all rights of and benefits to the Seller thereunder and the Buyer shall provide the Seller with such assistance and information as is reasonably required to obtain such Approvals. To the extent that the Purchased Assets may not be transferred to the Buyer hereunder without the Approval of another Person which Approval has not been obtained, this Agreement shall not constitute an agreement to transfer the same if an attempted transfer would constitute a breach thereof or be unlawful, and the Seller, at its expense, shall use its commercially reasonable efforts to obtain any such required Approval(s) as promptly as possible.
Seller Approvals. Except as set forth on Schedule 3.3, the execution ---------------- and delivery of this Agreement and the other Acquisition Documents, the consummation of the transactions contemplated hereby or thereby and the performance by Seller of its obligations hereunder and thereunder do not require any Governmental Approval from any Governmental Authority or any consent, waiver or approval or authorization of any third Person. The items set forth on Schedule 3.3 are referred to collectively as the "Required Seller Approvals."
Seller Approvals. Unless expressly provided herein to the contrary, any approval, consent, waiver or satisfaction of Seller with respect to any matter that is subject of any Acquisition Document may be granted or withheld by Seller in its sole and absolute discretion.
