Upon Seller Sample Clauses

Upon Seller s receipt of notification from Buyer of its rejection of non-conforming goods, Buyer shall wait for Seller to provide it with instructions regarding their disposal which shall be given in a reasonable time, but shall in no event exceed six (6) weeks. Buyer may not return goods unless written authorization is received from Seller. Parties acknowledge that the goods are not perishable and are of such kind that they will not decline in value. If Seller fails to give instructions to Buyer regarding the disposition of rightfully rejected goods within said six (6) week period, Buyer shall have the right to either: (i) store the goods for the account of Seller; or (ii) ship the rejected goods back to the Seller at the expense of Seller.
Upon Seller s receipt of notification from Buyer of its rejection of Goods, Seller shall: 7.4.1 within a reasonable time, but in any case within six (6) weeks, provide instructions regarding their disposal; 7.4.2 have six (6) weeks to cure any objection raised by Buyer due to receipt of defective and/or non-conforming goods before Seller incurs any liability to Buyer.
Upon Seller s receipt of the Purchase Price, in full, Seller shall provide Buyer with goat(s) registration papers, if any, and all other documents necessary to transfer registration of the goat(s) from the Seller to the Buyer.
Upon Seller s choice, the warranty is exercised either by providing the Buyer with a replacement product free-of-charge, or by the product in question being repaired in the Seller’s workshops. To this end, the defective parts or products are returned to the Seller at the Buyer’s expense within 30 calendar days as of the point in time the relevant product appears to be defective; the Seller shall pay for the carriage of replacement products or those having been repaired. Failure by the Buyer to return the alleged defaulting product within the above 30 day period would allow the Seller to invoice the replacement product or the cost of the repair. Under no circumstances does the warranty cover the expenses relating to searching for the defective item on-site or to dismantling and reassembling the product in its environment.

Upon Seller s delivery to the Escrow Agent of the documents set out in Clause 3.2(a) of this Agreement and the Videovox Transfer Notice, the Escrow Agent shall wire the Purchase Price from the Escrow Account to the Seller's bank account specified in Clause 7.13 of this Agreement.
Upon Seller s delivery to the Escrow Agent of the documents set out in Clause 3.2, and the Sale Shares with blank endorsment, the Escrow Agent shall wire the Purchase Price from the Escrow Account to the Seller's bank account specified in Clause 7.13.
