Seller Manager. At the Closing, up to one person, as designated by the Seller, shall be named as a manager of the Series and shall be the “Seller Series Manager” as set forth in, and for purposes of, the Organizational Documents (the “Seller Manager”), and the up to two MxXxxxx Series Managers (as defined in the Organizational Documents) shall remain as the up to two other managers of the Series.
Seller Manager. Seller will appoint a Seller employee (the “Seller Manager”) who shall (i) have overall, day-to-day responsibility during the term of this Agreement for managing and coordinating the delivery of the Services; (ii) subject to the supervision of Seller management, be authorized to act for and on behalf of Seller with respect to all matters relating to this Agreement, and (iii) be the primary contact with the Buyer Manager (as defined below). The Seller Manager or the Seller Manager’s designees will coordinate and consult with the Buyer Manager. Seller may, at its discretion, and upon written notice to Buyer, designate other or additional individuals to serve in these capacities during the term of this Agreement.
Seller Manager. During the term of this Agreement, Parent will appoint one of its employees (the “Seller Manager”) who will have overall responsibility for managing and coordinating the delivery of the Transition Services and will coordinate and consult with the Buyer Manager (as defined in Section 8(d)). Parent may, at its discretion, select other individuals to serve in the capacity of the Seller Manager during the term of this Agreement.
Seller Manager. During the term of this Agreement, [ ], Seller’s [title] (the “Seller Manager”) will have overall responsibility for managing and coordinating the delivery of the Transition Services and will coordinate and consult with the Buyer Manager (as defined in Section 4(a)(ii) below). Seller may, in its reasonable discretion, select other individuals to serve in the capacity of the Seller Manager during the term of this Agreement.
Seller Manager. The Seller will appoint an employee (the “Seller Manager”) to have overall responsibility for coordinating the delivery of the Transition Services. The Seller Manager will coordinate and consult with the Company Manager (as defined in Section 6(d)) regarding the provision of the Transition Services. The Seller may, in its sole discretion, change the individual designated to serve as the Seller Manager upon at least ten (10) days prior written notice to the Company if feasible.
