Seller Required Approvals. The Seller will have obtained and delivered to Buyer all Approvals listed on Schedule 1.1, each in a form acceptable to Buyer in its sole discretion.

Seller Required Approvals. The Seller shall have obtained (a) all Seller Required Approvals with respect to contracts designated on Schedule 2.13 as “Reassignment Required for Closure” and (b) at least 25 out of the remaining 32 Seller Required Approvals, all of which shall remain in full force and effect.
Seller Required Approvals. Seller shall, at its sole effort and expense, take all commercially-reasonable measures necessary to (x) obtain and/or cause to be effective on and as of the Closing Date, any and all of the Outstanding Seller Approvals, and (y) maintain in effect all such Outstanding Seller Approvals and all other Seller-Required Approvals up to and as of the Closing Date.

  • Required Approvals For so long as twenty-five percent (25%) of the principal amount of the Note is outstanding, the Company, without the prior written consent of the Purchaser, shall not, and shall not permit any of its Subsidiaries to:

  • Required Consents No consent shall be required for any assignment except to the extent required by subsection (b)(i)(B) of this Section and, in addition:
