Common use of Seller Resolutions Clause in Contracts

Seller Resolutions. The Administrative Agent will have received a certificate of the Seller attesting to: (a) the resolutions of the majority interest of the Seller's members authorizing the execution by the Seller of the Sale Documents to be executed by the Seller; (b) the names and signatures of the officers of the Seller's members authorized to execute the Sale Documents to be executed by the Seller; and (c) the completeness and correctness of the attached articles of organization and operating agreement of the Seller.

Seller Resolutions. The Administrative Agent will have received a certificate of the Seller attesting to: (ai) the resolutions of the majority interest of the Seller's members authorizing the execution by the Seller of the Sale Documents to be executed by the Seller; (bii) the names and signatures of the officers of the Seller's members authorized to execute the Sale Documents to be executed by the Seller; and (ciii) the completeness and correctness of the attached articles of organization and operating agreement of the Seller.

The Administrative Agent will have received a certificate of the Seller attesting to: (a) the resolutions of the majority interest of the Seller's members authorizing the execution execution, delivery and performance by the Seller of the Sale Documents to be executed by the Seller; (b) the names and signatures of the officers of the Seller's members authorized to execute the Sale Documents to be executed by the Seller; and (c) the completeness and correctness of the attached articles of organization and operating agreement of the Seller.

The Administrative Agent will have received a certificate of the Seller Seller's secretary or assistant secretary attesting to: (a) the resolutions of the majority interest of the Seller's members (or an executive committee thereof) authorizing the execution by the Seller of the Sale Documents to be executed by the Seller; (b) the names and signatures of the officers of the Seller's members Seller authorized to execute the Sale Documents to be executed by the Seller; and (c) the completeness and correctness of the attached articles of organization (certified by the appropriate Secretary of State) and operating agreement of the Seller.
