Serac Outstanding Certificates. Subject to Section 5.1, after the Effective Date, certificates formerly representing Serac Common Shares held by Serac Common Shareholders other than Silverzipper shall represent only the right to receive certificates representing shares of Silverzipper Common Stock that the former holder of such Serac Common Shares is entitled to receive pursuant to Article 3, subject to compliance with the requirements set forth in this Article 4. After the Effective Date, certificates formerly representing Serac Common Shares held by Silverzipper shall represent only the right to receive certificates representing the AcquisitionCo. Common Shares that Silverzipper is entitled to receive pursuant to Article 3.
