Series C Amount Clause Samples

Series C Amount. For the purposes of the above paragraph (c), the "Series C Amount" of each Series C Share will be an amount equal to the aggregate of, if the Series C Share was issued for money or a promissory note, the monetary consideration received by the Company, including for these purposes the amount of any promissory note received by the Company, upon the issuance of the Series C Share (denominated in the currency in which the consideration was received by the Company) or, if the Series C Share was issued for a consideration other than money or a promissory note, the fair market value of the consideration received by the Company (including, without limitation, shares of another class of the Company) upon the issuance of the Series C Share, in each case less (iii) all amounts paid in respect of the Series C Share on account of reductions of stated capital.
